These Terms of Use govern your access to and use of the mobile application known as Lanes, the website lanes.sg, and all related software, features, functions, services, content, tools, interfaces, updates, documentation, communications, and other offerings made available by or on behalf of Bapak Pte. Ltd.

These Terms of Use constitute a legally binding agreement between you and Bapak Pte. Ltd. Please read them carefully before accessing or using the Services.

1. ACCEPTANCE OF TERMS

1.1 Binding Agreement

These Terms of Use, together with any policies, notices, guidelines, supplemental terms, subscription terms, product-specific terms, platform-specific terms, and other documents incorporated by reference, constitute a legally binding agreement between:

a. Bapak Pte. Ltd., a company incorporated in the Republic of Singapore with UEN 202542115N (“Bapak”, “Company”, “we”, “us”, or “our”); and

b. any person who accesses, downloads, installs, registers for, uses, or otherwise interacts with the Services (“User”, “you”, or “your”).

By downloading, installing, accessing, registering for, or using the Services, you acknowledge that you have read, understood, accepted, and agreed to be bound by these Terms of Use.

1.2 Use Constitutes Acceptance

Your access to or use of any part of the Services constitutes your acceptance of these Terms of Use. Such acceptance applies whether you access the Services through a mobile device, tablet, vehicle interface, web browser, third-party platform, application marketplace, in-vehicle system, or any other means.

If you do not agree to these Terms of Use, you must immediately cease accessing and using the Services, uninstall the Application from your devices, and discontinue any use of any account, feature, function, or content associated with the Services.

1.3 Incorporation of Additional Terms

Certain features, products, subscription plans, features, promotions, platform integrations, or third-party services may be subject to additional terms and conditions. Such additional terms may be presented to you within the Application, on our website, in an application marketplace, through a third-party platform, or through other reasonable means.

Where additional terms apply, such additional terms are incorporated into and form part of these Terms of Use. In the event of any inconsistency between these Terms of Use and any additional terms, the additional terms shall prevail only to the extent of the inconsistency and only in respect of the relevant feature, product, service, or transaction to which such additional terms apply.

1.4 Updates to Terms

We may amend, revise, supplement, or replace these Terms of Use from time to time. Any updated version will be made available through the Application, our website, an application marketplace, or such other channel as we may reasonably determine.

Unless otherwise stated, the updated Terms of Use shall take effect upon publication. Your continued access to or use of the Services after the effective date of the updated Terms of Use constitutes your acceptance of the updated Terms of Use.

If you do not agree to any updated Terms of Use, you must stop using the Services.

1.5 Electronic Agreement

You agree that these Terms of Use may be entered into electronically and that your electronic acceptance shall have the same legal effect as a physical signature. You further agree that any notices, disclosures, records, agreements, and communications relating to the Services may be provided electronically, subject to applicable law.

1.6 No Waiver of Legal Rights Required by Law

Nothing in these Terms of Use shall exclude, restrict, or modify any rights, remedies, warranties, guarantees, obligations, or liabilities that cannot lawfully be excluded, restricted, or modified under applicable law. Any exclusion, limitation, disclaimer, or indemnity in these Terms of Use shall apply only to the fullest extent permitted by applicable law.

1.7 Platform Provider Terms

If you download or access the Application through an application marketplace or platform provider, including but not limited to the Apple App Store or Google Play Store, your access to and use of the Application may also be subject to the terms, policies, and rules of that platform provider.

You acknowledge that such platform provider is not a party to these Terms of Use, unless otherwise expressly stated by that platform provider. To the fullest extent permitted by applicable law, we are solely responsible for the Services and their content, subject always to the limitations and disclaimers set out in these Terms of Use.

1.8 Language

These Terms of Use may be made available in multiple languages. In the event of any inconsistency, ambiguity, or conflict between the English version and any translated version, the English version shall prevail, unless prohibited by applicable law.

2. DEFINITIONS AND INTERPRETATION

2.1 Definitions

In these Terms of Use, unless the context otherwise requires, the following words and expressions shall have the meanings set out below:

“Account” means any account, profile, registration, login credential, user identifier, or access credential created, issued, or used in connection with the Services.

“Application” means the mobile application known as Lanes, including all versions, updates, upgrades, patches, components, modules, interfaces, extensions, in-vehicle integrations, and related software.

“Bapak”, “Company”, “we”, “us”, or “our” means Bapak Pte. Ltd., its successors, assigns, affiliates, officers, employees, contractors, representatives, and authorised agents, as the context may require.

“Content” means any and all text, information, data, graphics, icons, images, maps, route lines, visual interfaces, user interfaces, software, audio, video, designs, logos, trademarks, service marks, trade names, documents, databases, compilations, analytics, recommendations, estimates, notifications, alerts, and other materials made available through or in connection with the Services.

“Device” means any smartphone, tablet, computer, wearable device, in-vehicle infotainment system, vehicle display, navigation interface, or other electronic device used to access or operate the Services.

“Driving Information” means any information, content, data, estimate, calculation, route output, route suggestion, instruction, notification, alert, or visual display relating to driving, road travel, route planning, vehicle travel, road conditions, traffic, fuel cost, estimated tolls, ERP charges, car park availability, or estimated journey duration.

“Effective Date” means the date stated at the beginning of these Terms of Use or such other date on which these Terms of Use become effective.

“ERP” means Electronic Road Pricing or any similar, replacement, supplemental, or successor road pricing, congestion pricing, tolling, charging, or traffic management system implemented in Singapore or elsewhere.

“Fees” means any charges, fees, subscription payments, one-time payments, in-app purchases, recurring payments, service charges, transaction charges, or other amounts payable in connection with the Services.

“Force Majeure Event” means any event or circumstance beyond our reasonable control, including but not limited to acts of God, natural disasters, severe weather events, flooding, fire, war, terrorism, civil unrest, riots, labour disputes, strikes, epidemics, pandemics, government action, regulatory action, changes in law, internet failure, telecommunications failure, cloud service failure, third-party service failure, cyberattacks, data centre outages, power outages, mapping provider failures, transport data failures, payment provider failures, platform provider failures, or any other event beyond our reasonable control.

“Intellectual Property Rights” means all intellectual property and proprietary rights, whether registered or unregistered, including copyrights, patents, trademarks, service marks, trade names, trade secrets, database rights, design rights, domain names, moral rights, rights in software, rights in data, rights in algorithms, rights in business methods, rights in know-how, and all similar or equivalent rights anywhere in the world.

“Lanes” means the Application and the Services operated under the name “Lanes”, including the website lanes.sg and any related product, feature, platform, or service operated by or on behalf of Bapak.

“Location Data” means any data relating to the location, movement, position, route, origin, destination, waypoint, proximity, direction, speed, or travel pattern of a User, Device, vehicle, or journey, whether precise or approximate.

“Personal Data” means data, whether true or not, about an individual who can be identified from that data, or from that data and other information to which an organisation has or is likely to have access.

“Platform Provider” means any operator of an application marketplace, operating system, device ecosystem, payment system, vehicle interface, in-vehicle operating system, or third-party platform through which the Services are accessed, downloaded, purchased, integrated, or used.

“Privacy Policy” means our privacy policy, as amended from time to time, which explains how we collect, use, disclose, store, process, protect, retain, and transfer Personal Data in connection with the Services.

“Route Information” means any route, route suggestion, navigation-related output, travel instruction, journey estimate, estimated time of arrival, estimated travel duration, estimated distance, estimated cost, route comparison, map display, turn indication, road information, traffic information, or other journey-related information displayed or generated through the Services.

“Services” means the Application, the website lanes.sg, and all related services, features, products, tools, interfaces, content, functions, communications, support services, databases, subscriptions, updates, and other offerings provided by or on behalf of Bapak in connection with Lanes.

“Subscription” means any recurring paid plan, membership, paid access arrangement, renewal-based service, premium feature access, or other recurring commercial arrangement offered in connection with the Services.

“Terms” or “Terms of Use” means these Terms of Use, as amended, supplemented, or replaced from time to time.

“Third-Party Services” means any third-party websites, applications, platforms, APIs, data sources, software, systems, payment processors, cloud services, analytics tools, crash reporting tools, mapping providers, routing providers, traffic providers, transport data providers, weather providers, vehicle interface providers, application marketplaces, or other third-party products or services used in connection with or made available through the Services.

“User Content” means any content, information, feedback, suggestion, review, report, correction, comment, data, file, photograph, image, text, communication, or other material submitted, uploaded, transmitted, posted, stored, or otherwise provided by a User through or in connection with the Services.

“Vehicle Data” means information relating to a vehicle, including but not limited to vehicle model, make, category, fuel type, fuel efficiency, estimated fuel consumption, vehicle preference, registration-related information if applicable, and other vehicle-related preferences or information entered by a User or otherwise processed through the Services.

2.2 Interpretation

In these Terms of Use, unless the context otherwise requires:

a. references to the singular include the plural and vice versa;

b. references to any gender include all genders;

c. references to a person include an individual, company, corporation, partnership, limited liability partnership, association, trust, governmental body, statutory body, agency, or other legal entity;

d. references to “including”, “includes”, “in particular”, or similar expressions shall be construed without limitation;

e. references to any law, statute, regulation, rule, directive, guideline, or legal requirement include any amendment, re-enactment, consolidation, replacement, or subordinate legislation made under it;

f. headings are inserted for convenience only and shall not affect the interpretation of these Terms of Use;

g. any obligation not to do something includes an obligation not to permit, assist, encourage, procure, facilitate, or cause that thing to be done;

h. any reference to access or use of the Services includes access or use through any Device, platform, operating system, vehicle interface, or third-party service;

i. any reference to “writing” includes electronic communications, unless the context requires otherwise; and

j. any reference to our discretion means our sole and absolute discretion, subject to applicable law.

3. ELIGIBILITY AND AUTHORITY

3.1 Minimum Age

You must be at least thirteen years of age, or such higher minimum age as may be required under applicable law in your jurisdiction, to access or use the Services.

If you are below the age of majority in your jurisdiction, you may use the Services only with the consent, supervision, and involvement of your parent or legal guardian. By allowing a minor to use the Services, the parent or legal guardian agrees to be bound by these Terms of Use and shall be responsible for the minor’s use of the Services.

3.2 Capacity to Contract

By accessing or using the Services, you represent and warrant that:

a. you have the legal capacity, right, power, and authority to enter into and be bound by these Terms of Use;

b. your access to and use of the Services does not violate any applicable law, regulation, court order, contractual obligation, fiduciary duty, employment obligation, or other legal obligation applicable to you;

c. all information provided by you to us is true, accurate, complete, current, and not misleading; and

d. you will comply with these Terms of Use and all applicable laws and regulations.

3.3 Use on Behalf of an Entity

If you access or use the Services on behalf of a company, organisation, partnership, association, government body, school, employer, client, or other entity, you represent and warrant that:

a. you are duly authorised to act on behalf of that entity;

b. you have authority to bind that entity to these Terms of Use;

c. that entity agrees to be bound by these Terms of Use; and

d. references to “you” and “your” in these Terms of Use shall include both you personally and that entity, unless the context requires otherwise.

If you do not have such authority, you must not access or use the Services on behalf of that entity.

3.4 Compliance with Local Laws

The Services are operated from Singapore. We do not represent that the Services are appropriate, lawful, available, or suitable for use in all jurisdictions.

If you access or use the Services from outside Singapore, you do so at your own initiative and risk. You are solely responsible for complying with all laws, regulations, rules, standards, licensing requirements, road traffic laws, transport regulations, data protection laws, consumer protection laws, and other legal requirements applicable in your jurisdiction.

3.5 Prohibited Users

You must not access or use the Services if:

a. you are prohibited from doing so under applicable law;

b. you have previously been suspended or terminated from the Services and have not received our express written permission to resume access;

c. you are accessing or using the Services for any unlawful, fraudulent, harmful, abusive, or unauthorised purpose;

d. you are accessing or using the Services in a manner that may endanger life, safety, property, road users, transport systems, infrastructure, or public order;

e. you intend to reverse engineer, interfere with, overload, attack, compromise, scrape, or misuse the Services; or

f. you do not agree to these Terms of Use.

3.6 Right to Refuse Access

We reserve the right, subject to applicable law, to refuse, restrict, suspend, or terminate access to the Services, in whole or in part, at any time and for any reason, including where we reasonably believe that a User is ineligible, unauthorised, in breach of these Terms of Use, or presents legal, security, operational, reputational, safety, or commercial risk to us, other users, third parties, or the public.

4. ACCOUNT REGISTRATION AND SECURITY

4.1 Account Creation

Certain features of the Services may require you to create an Account or sign in using an authentication method made available by us or a third-party provider.

You may be required to provide information such as your name, email address, phone number, login credentials, device information, transport preferences, vehicle information, payment information, or other information necessary to create, maintain, verify, or operate your Account.

We may accept or reject any Account registration at our discretion, subject to applicable law.

4.2 Accuracy of Account Information

You agree to provide true, accurate, complete, current, and non-misleading information when creating or maintaining an Account.

You further agree to promptly update your Account information if it changes or becomes inaccurate. We shall not be responsible for any loss, damage, delay, failed communication, failed transaction, account restriction, service disruption, or inability to access the Services arising from inaccurate, incomplete, outdated, or misleading information provided by you.

4.3 Account Credentials

You are solely responsible for maintaining the confidentiality and security of your Account credentials, including usernames, passwords, authentication tokens, one-time passwords, biometric access, device access, and any other method used to access your Account.

You must not disclose, transfer, sell, assign, lend, share, or otherwise make your Account credentials available to any other person.

You are responsible for all activity conducted through your Account, whether or not authorised by you, except to the extent caused solely by our breach of these Terms of Use or applicable law.

4.4 Unauthorised Access

You must notify us immediately if you become aware of or suspect any unauthorised access to your Account, compromise of your credentials, loss of your Device, unauthorised transaction, security incident, or other misuse of the Services.

We may take any action we consider appropriate in response to suspected unauthorised access, including requiring password resets, restricting access, suspending the Account, disabling features, cancelling transactions, requiring verification, or taking security measures.

We shall not be liable for any loss or damage arising from unauthorised access to your Account unless such loss or damage is caused solely by our breach of applicable law or our gross negligence, wilful misconduct, or fraud, to the extent such liability cannot lawfully be excluded.

4.5 Account Verification

We may require you to verify your identity, contact details, payment details, device, location, or other information before allowing access to certain features, restoring an Account, processing a payment, investigating suspicious activity, responding to support requests, or complying with legal obligations.

Failure to provide requested verification information may result in restricted access to the Services.

4.6 Account Sharing and Transfer

Unless expressly permitted by us in writing, Accounts are personal to the registered User and may not be shared, transferred, assigned, sold, sublicensed, or otherwise made available to any other person.

You must not create, use, or access an Account on behalf of another person without proper authorisation.

4.7 Account Recovery

We may provide Account recovery mechanisms from time to time. We do not guarantee that Account recovery will be available, successful, immediate, or error-free.

We may refuse to restore access to an Account where we are unable to verify your identity, where restoration may compromise security, where the Account has been suspended or terminated, where restoration may violate law, or where we reasonably determine that restoration would create legal, security, operational, safety, reputational, or commercial risk.

4.8 Account Deletion

You may request deletion of your Account through the Application, website, or by contacting us, where such functionality or process is made available.

Account deletion may result in loss of access to saved preferences, favourites, journey history, subscription features, personalised settings, and other Account-related data. Certain information may be retained where required or permitted by law, including for legal, regulatory, accounting, tax, audit, fraud prevention, security, dispute resolution, enforcement, or legitimate business purposes.

4.9 No Obligation to Monitor

We may, but are not obliged to, monitor Accounts, Account activity, User Content, usage patterns, security events, or compliance with these Terms of Use.

Our failure to monitor, detect, prevent, or act upon any breach or misuse shall not constitute a waiver of our rights and shall not create any liability on our part.

5. NATURE AND SCOPE OF THE SERVICES

5.1 General Description

Lanes is a travel, route-planning, and journey-assistance application intended to provide Users with information, tools, estimates, and features relating to travel, transport, routes, driving, public transport, traffic, location, fuel cost, ERP cost, car park availability, weather-related suggestions, and other journey-related matters.

The precise features available to you may vary depending on your location, Device, operating system, app version, Account status, subscription status, settings, permissions, third-party service availability, and other technical or commercial factors.

5.2 Informational Tool Only

The Services are provided for general informational, convenience, planning, and assistance purposes only.

The Services do not constitute professional advice, transport advice, traffic authority directions, legal advice, safety advice, financial advice, emergency advice, or any other form of regulated or professional advice.

You remain solely responsible for exercising independent judgment when planning, commencing, continuing, altering, or ending any journey.

5.3 No Guarantee of Accuracy

You acknowledge and agree that any Route Information, Driving Information, journey estimate, cost estimate, traffic information, ERP estimate, fuel estimate, public transport information, weather information, car park information, notification, alert, recommendation, or other output made available through the Services may be incomplete, inaccurate, delayed, outdated, unavailable, interrupted, or affected by third-party data errors.

Without limiting any other provision of these Terms of Use, we do not warrant, represent, or guarantee that any information displayed or generated through the Services will be accurate, complete, current, reliable, timely, uninterrupted, error-free, or suitable for your intended purpose.

5.4 No Control Over Real-World Conditions

You acknowledge that we do not control and are not responsible for real-world conditions, including but not limited to:

a. road closures;

b. road works;

c. accidents;

d. traffic congestion;

e. vehicle breakdowns;

f. weather conditions;

g. flooding;

h. events;

i. law enforcement operations;

j. road diversions;

k. public transport delays;

l. car park availability;

m. petrol prices;

n. ERP rates;

o. tolling policies;

p. map accuracy;

q. road signs;

r. speed limits;

s. driver behaviour;

t. pedestrian behaviour;

u. cyclist behaviour;

v. government data availability; or

w. any other external condition affecting travel.

You must always comply with actual road conditions, traffic laws, road signs, signals, barriers, directions from authorities, and your own reasonable judgment, regardless of any information displayed by the Services.

5.5 Service Availability

We may add, remove, suspend, restrict, modify, replace, or discontinue any part of the Services at any time, with or without notice, subject to applicable law.

We do not guarantee that the Services or any feature will be available at all times, in all locations, on all devices, on all operating systems, or through all platform providers.

5.6 Dependencies

The Services may depend on third-party services, data providers, APIs, cloud infrastructure, operating systems, device permissions, internet connectivity, GPS signals, mobile networks, payment processors, app marketplaces, vehicle interfaces, and other systems outside our control.

We shall not be responsible for any failure, delay, interruption, inaccuracy, unavailability, incompatibility, or degradation of the Services caused by such dependencies.

5.7 Feature Variation

Some features may be available only in selected countries, regions, cities, devices, operating systems, languages, account types, subscription plans, programmes, or app versions.

We may determine feature availability at our discretion. We are not obliged to make any feature available to all Users or to maintain feature parity across platforms, devices, operating systems, or regions.

5.8 Experimental and Developing Product

You acknowledge that the Services may evolve over time and that certain features may be newly released, experimental, incomplete, subject to change, or dependent on ongoing development.

You agree that we may change the design, functionality, availability, data sources, algorithms, calculations, interfaces, pricing, and operational structure of the Services from time to time.

6. LICENCE TO USE THE SERVICES

6.1 Limited Licence

Subject to your continuous compliance with these Terms of Use, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable licence to download, install, access, and use the Application and Services solely for your personal, lawful, non-commercial use, unless otherwise expressly authorised by us in writing.

This licence is granted to you personally and does not transfer any ownership interest in the Services, Content, software, data, technology, or Intellectual Property Rights to you.

6.2 Scope of Licence

The licence granted to you permits you to:

a. install the Application on a compatible Device that you own or control;

b. access and use the Services in accordance with these Terms of Use;

c. view Content made available to you through the Services;

d. use route-planning and journey-related features for lawful personal purposes; and

e. use any paid features for which you have validly paid, subject to the applicable subscription or purchase terms.

6.3 Licence Restrictions

Except as expressly permitted by these Terms of Use or applicable law, you must not:

a. copy, reproduce, modify, adapt, translate, distribute, publish, sell, rent, lease, lend, sublicense, assign, transfer, or otherwise exploit the Services or any part thereof;

b. reverse engineer, decompile, disassemble, decrypt, derive source code from, or attempt to discover the underlying structure, algorithms, models, data processing methods, or source code of the Services;

c. remove, obscure, alter, or interfere with any copyright notice, trademark notice, proprietary rights notice, legal notice, watermark, attribution, or other notice displayed in or through the Services;

d. use the Services to build, train, support, benchmark, or improve any competing product, service, system, dataset, model, application, or platform;

e. extract, scrape, crawl, harvest, mine, cache, index, copy, store, aggregate, or reproduce any Content, data, route information, traffic information, pricing information, map information, or other information made available through the Services;

f. use the Services for commercial transport operations, fleet management, dispatching, logistics, delivery, ride-hailing, taxi services, courier services, emergency response, public transport operation, or any other commercial or operational purpose without our express written consent;

g. bypass, disable, interfere with, or circumvent any security, access control, rate limit, authentication, payment, usage restriction, or technical protection measure;

h. use any automated system, bot, scraper, crawler, spider, script, emulator, simulator, or other non-human method to access or interact with the Services;

i. upload, transmit, or introduce viruses, malware, worms, logic bombs, spyware, ransomware, harmful code, corrupted data, or other destructive or disruptive material;

j. interfere with, disrupt, overload, damage, or impair the Services, servers, networks, systems, APIs, infrastructure, or third-party services used by us;

k. use the Services in any manner that infringes, misappropriates, or violates any Intellectual Property Rights, privacy rights, publicity rights, contractual rights, or other rights of any person;

l. use the Services for any unlawful, fraudulent, misleading, abusive, harmful, threatening, defamatory, obscene, discriminatory, harassing, invasive, or otherwise objectionable purpose; or

m. permit or assist any other person to do any of the foregoing.

6.4 Updates

We may provide updates, upgrades, patches, modifications, bug fixes, enhancements, or new versions of the Application from time to time.

Such updates may be required for continued use of the Services. If you do not install required updates, some or all features may become unavailable, inaccurate, insecure, incompatible, or degraded.

All updates shall be deemed part of the Application and shall be subject to these Terms of Use, unless accompanied by separate terms.

6.5 Open Source Software

The Application may include or be distributed with open source software components. Such components may be subject to separate licence terms.

Nothing in these Terms of Use is intended to restrict any rights you may have under applicable open source licences. In the event of any conflict between these Terms of Use and any applicable open source licence, the open source licence shall prevail solely with respect to the relevant open source component.

6.6 Reservation of Rights

All rights not expressly granted to you under these Terms of Use are reserved by us and our licensors.

No rights are granted to you by implication, estoppel, exhaustion, or otherwise.

7. OWNERSHIP AND INTELLECTUAL PROPERTY

7.1 Ownership of Services

The Services, including all software, source code, object code, algorithms, designs, interfaces, layouts, databases, compilations, graphics, logos, trade names, trademarks, service marks, icons, text, maps, route displays, calculations, recommendations, features, documentation, business methods, data structures, and other Content, are owned by or licensed to Bapak and are protected by Intellectual Property Rights and other laws.

Except for the limited licence expressly granted to you under these Terms of Use, you acquire no right, title, or interest in or to the Services.

7.2 Trademarks

“Lanes”, “Bapak”, “lanes.sg”, and any related names, logos, marks, slogans, icons, badges, trade dress, product names, feature names, or service identifiers are trademarks, service marks, trade names, or proprietary identifiers of Bapak or its licensors.

You must not use, copy, reproduce, display, register, attempt to register, imitate, modify, or create derivative marks from any such marks without our prior written consent.

7.3 Content Ownership

All Content made available through the Services is owned by us, our licensors, our service providers, or other authorised rights holders.

You may access and view such Content solely as permitted by these Terms of Use and solely for your lawful personal use.

No Content may be copied, republished, distributed, transmitted, sold, scraped, extracted, modified, reverse engineered, displayed, performed, used for training, used for commercial purposes, or otherwise exploited without our prior written consent, unless expressly permitted by applicable law.

7.4 Data and Compilations

You acknowledge that the selection, arrangement, compilation, enhancement, presentation, structuring, and processing of data within the Services may involve proprietary methods, databases, algorithms, interfaces, business logic, and Intellectual Property Rights owned by or licensed to Bapak.

You must not copy, extract, reproduce, compile, aggregate, redistribute, resell, or create derivative databases, datasets, maps, route products, analytics products, traffic products, pricing products, or transport-related products from the Services.

7.5 Feedback

If you submit any feedback, ideas, suggestions, bug reports, feature requests, comments, proposals, improvements, or other recommendations relating to the Services, whether through the Application, website, email, support channel, survey, social media, app marketplace, or any other channel, you grant us a worldwide, perpetual, irrevocable, transferable, sublicensable, royalty-free, fully paid-up licence to use, reproduce, modify, adapt, publish, translate, distribute, display, perform, commercialise, create derivative works from, and otherwise exploit such feedback for any purpose without restriction, compensation, attribution, or obligation to you.

You represent and warrant that you have all rights necessary to provide such feedback and to grant the rights described in this section.

7.6 User Content Licence

Where the Services allow you to submit, upload, transmit, or provide User Content, you retain ownership of any rights you may have in such User Content.

However, by submitting User Content, you grant us a worldwide, non-exclusive, transferable, sublicensable, royalty-free, fully paid-up licence to use, host, store, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, display, perform, process, analyse, and otherwise use such User Content for the purposes of operating, providing, maintaining, improving, securing, enforcing, and developing the Services.

This licence includes the right to use User Content for customer support, technical troubleshooting, analytics, product improvement, safety, fraud prevention, legal compliance, and enforcement of these Terms of Use.

7.7 Representations Regarding User Content

You represent and warrant that:

a. you own or have all necessary rights, licences, consents, and permissions to submit the User Content;

b. the User Content does not infringe, misappropriate, or violate any Intellectual Property Rights, privacy rights, publicity rights, contractual rights, confidentiality obligations, or other rights of any person;

c. the User Content is not false, misleading, unlawful, defamatory, obscene, threatening, abusive, discriminatory, harassing, invasive, harmful, or otherwise objectionable;

d. the User Content does not contain viruses, malware, harmful code, or other destructive material; and

e. the User Content complies with these Terms of Use and applicable law.

7.8 Removal of Content

We may remove, restrict, disable, modify, or refuse to display any User Content at any time where we reasonably believe that such User Content violates these Terms of Use, applicable law, third-party rights, platform policies, or our operational, safety, legal, reputational, or commercial interests.

We are not obliged to retain, return, preserve, or provide copies of any User Content.

7.9 No Challenge

You must not challenge, contest, impair, or assist any person in challenging, contesting, or impairing our ownership of or rights in the Services, Content, trademarks, data, software, or Intellectual Property Rights.

8. USER RESPONSIBILITIES AND ACCEPTABLE USE

8.1 General Responsibilities

You are solely responsible for your access to and use of the Services.

You agree that you will:

a. use the Services only for lawful purposes;

b. comply with these Terms of Use;

c. comply with all applicable laws, regulations, rules, directions, orders, and codes of practice;

d. comply with all applicable road traffic laws, transport regulations, parking rules, tolling rules, ERP requirements, vehicle laws, and safety obligations;

e. use the Services responsibly and safely;

f. exercise independent judgment at all times;

g. ensure that your use of the Services does not endanger yourself, passengers, pedestrians, cyclists, motorists, road users, property, infrastructure, or the public;

h. ensure that all information you provide is accurate, complete, current, and not misleading;

i. maintain the security of your Account, Device, and credentials;

j. obtain all permissions and consents necessary for your use of the Services; and

k. immediately cease using the Services if your use becomes unsafe, unlawful, distracting, or otherwise inappropriate.

8.2 Driving and Road Safety

You acknowledge and agree that your primary responsibility while driving or operating any vehicle is to drive safely, obey the law, observe actual road conditions, and avoid distraction.

You must not use the Services in any manner that distracts you from driving or operating a vehicle safely.

You must not interact with the Application while driving unless it is lawful and safe to do so. Where available, you should use hands-free, voice, in-vehicle, or passenger-assisted methods only where permitted by law and only where safe.

You remain solely responsible for:

a. complying with road traffic laws;

b. complying with speed limits;

c. obeying road signs and traffic signals;

d. following directions from police, traffic controllers, emergency personnel, and public authorities;

e. observing road closures, diversions, hazards, and conditions;

f. maintaining proper control of your vehicle;

g. ensuring that your Device is mounted, used, and operated lawfully and safely;

h. ensuring that your vehicle is roadworthy, insured, licensed, and legally permitted for use;

i. deciding whether any route is safe, legal, or suitable; and

j. deciding whether to commence, continue, alter, or stop any journey.

8.3 No Blind Reliance

You must not rely blindly or exclusively on the Services.

Any Route Information, Driving Information, notification, alert, estimate, recommendation, or instruction displayed by the Services must be assessed by you against actual conditions, legal requirements, road signs, traffic signals, police directions, weather conditions, vehicle condition, personal capability, and common sense.

If any information displayed by the Services conflicts with road signs, traffic signals, physical barriers, law enforcement directions, public authority instructions, actual road conditions, or applicable law, you must disregard the Services and comply with the real-world requirement.

8.4 Accuracy of Information Provided by You

Certain features may depend on information provided by you, including but not limited to vehicle model, fuel efficiency, preferred fuel type, petrol station preference, transport preferences, saved locations, origin, destination, route settings, and location permissions.

You are responsible for ensuring that such information is accurate, complete, current, and suitable for the relevant purpose.

We shall not be responsible for inaccurate estimates, route suggestions, cost calculations, or other outputs arising from inaccurate, incomplete, outdated, or misleading information provided by you.

8.5 Device and Connectivity

You are responsible for obtaining, maintaining, and securing all Devices, internet connections, mobile data plans, operating systems, app permissions, vehicle interfaces, and other equipment or services necessary to access and use the Services.

You are responsible for all charges imposed by your mobile network operator, internet service provider, platform provider, payment provider, or other third party in connection with your access to or use of the Services.

We are not responsible for any failure, delay, interruption, inaccuracy, or degradation caused by your Device, network, operating system, settings, permissions, battery level, GPS signal, vehicle interface, or connectivity.

8.6 Prohibited Conduct

You must not:

a. use the Services for any unlawful, fraudulent, harmful, unsafe, abusive, or unauthorised purpose;

b. use the Services while driving in a manner that is unsafe or prohibited by law;

c. use the Services to commit, facilitate, encourage, or conceal any offence, traffic violation, fraud, abuse, or unlawful act;

d. use the Services to evade law enforcement, avoid lawful tolls or charges, facilitate dangerous driving, organise illegal racing, or engage in reckless conduct;

e. use the Services to stalk, track, harass, monitor, intimidate, or harm any person;

f. impersonate any person or entity;

g. misrepresent your identity, affiliation, location, vehicle, authority, or purpose;

h. access or use another person’s Account without authorisation;

i. interfere with another User’s use of the Services;

j. submit false, misleading, fraudulent, defamatory, unlawful, harmful, or malicious information;

k. upload, transmit, or distribute any virus, malware, spyware, ransomware, worm, Trojan horse, logic bomb, or harmful code;

l. attack, overload, disrupt, disable, damage, impair, or interfere with the Services, servers, networks, APIs, systems, infrastructure, or third-party services;

m. attempt to gain unauthorised access to any system, Account, database, server, network, source code, API, data, or infrastructure;

n. test, scan, probe, or exploit any vulnerability in the Services without our prior written consent;

o. bypass, disable, remove, defeat, or circumvent any security, access control, rate limit, authentication, subscription, payment, or technical restriction;

p. scrape, crawl, extract, copy, harvest, mine, cache, aggregate, or store any data or Content from the Services;

q. use automated tools, bots, scripts, emulators, simulators, or other non-human methods to access or use the Services;

r. reverse engineer, decompile, disassemble, derive source code from, or attempt to discover the underlying methods, algorithms, models, data structures, or technology of the Services;

s. create derivative works, competing products, benchmark datasets, commercial route products, traffic products, transport products, pricing products, or analytics products using the Services or Content;

t. use the Services in a manner that infringes or violates any Intellectual Property Rights, privacy rights, contractual rights, confidentiality obligations, or other rights of any person;

u. remove, obscure, or alter proprietary notices, attributions, disclaimers, or legal notices displayed in the Services;

v. use the Services for commercial transport, fleet, logistics, dispatch, delivery, ride-hailing, taxi, courier, emergency, or operational use without our express written consent;

w. resell, sublicense, rent, lease, lend, distribute, or commercially exploit access to the Services;

x. violate any applicable platform provider rules, application marketplace terms, or third-party service terms;

y. act in a manner that may expose us, our service providers, other Users, or any third party to legal, security, operational, safety, reputational, or commercial risk; or

z. encourage, assist, permit, or enable any other person to do any of the foregoing.

8.7 Commercial Use

Unless expressly authorised by us in writing, the Services are intended for personal, non-commercial use only.

You must not use the Services for business, enterprise, commercial, operational, governmental, fleet, logistics, transport, dispatch, or institutional purposes.

We may offer separate commercial, enterprise, developer, API, fleet, partnership, or institutional terms in the future. Such use shall require a separate written agreement with us.

8.8 Compliance with Third-Party Terms

Your use of the Services may involve third-party platforms, operating systems, application marketplaces, payment processors, map providers, routing providers, traffic providers, transport data providers, weather providers, vehicle interfaces, or other third-party services.

You are responsible for complying with all applicable third-party terms, policies, licences, and requirements.

We are not responsible for your breach of any third-party terms or for any action taken by a third party against you.

8.9 Cooperation with Investigations

You agree to cooperate reasonably with us in relation to any investigation, inquiry, claim, complaint, security incident, suspected breach, technical issue, fraud prevention measure, legal request, or enforcement action relating to your use of the Services.

We may disclose information where required or permitted by law, including to law enforcement agencies, regulators, courts, government authorities, platform providers, payment processors, service providers, or affected third parties.

8.10 Consequences of Breach

If we reasonably believe that you have breached these Terms of Use, applicable law, third-party terms, or any applicable policy, we may take any action we consider appropriate, including:

a. issuing a warning;

b. restricting access to features;

c. suspending or terminating your Account;

d. disabling access to the Services;

e. removing User Content;

f. cancelling transactions;

g. refusing refunds where permitted by law;

h. reporting conduct to platform providers, payment providers, law enforcement agencies, regulators, or affected third parties;

i. preserving records;

j. commencing legal action; and

k. seeking damages, injunctions, costs, and other remedies.

Our rights under this section are without prejudice to any other rights or remedies available to us under these Terms of Use, at law, in equity, or otherwise.

9. LOCATION SERVICES AND LOCATION DATA

9.1 Location-Based Functionality

The Services may include features that use, depend upon, or are enhanced by Location Data. Such features may include route planning, journey estimation, map display, current location detection, nearby place search, car park availability, traffic information, estimated driving costs, estimated ERP charges, public transport suggestions, weather-related suggestions, and other location-based functionality.

You acknowledge that the functionality, accuracy, availability, and reliability of the Services may depend substantially on the availability and quality of Location Data received from your Device, operating system, satellite positioning systems, mobile networks, Wi-Fi networks, Bluetooth signals, vehicle interfaces, third-party providers, and other technical sources.

9.2 Permission to Access Location

Where required by your Device, operating system, platform provider, or applicable law, the Services may request permission to access Location Data.

By granting location permission, you authorise the Services to access, collect, process, use, and display Location Data for the purposes described in these Terms of Use and our Privacy Policy.

You may grant, deny, restrict, modify, or revoke location permissions through your Device settings, operating system settings, or Application settings where such options are available. If you deny, restrict, or revoke location permissions, some or all location-based features may become unavailable, inaccurate, delayed, incomplete, or degraded.

9.3 User Responsibility for Location Settings

You are solely responsible for configuring, maintaining, and understanding the location permission settings on your Device.

We shall not be responsible for any failure, delay, inaccuracy, unavailability, excessive battery consumption, degraded functionality, incorrect route output, incorrect estimate, or other consequence arising from:

a. disabled location permissions;

b. restricted location permissions;

c. inaccurate GPS data;

d. poor satellite visibility;

e. weak mobile network coverage;

f. poor Wi-Fi positioning;

g. interference with location signals;

h. operating system limitations;

i. Device hardware limitations;

j. low battery mode or power saving mode;

k. inaccurate Device time, region, or network settings;

l. use of VPNs, location spoofing tools, developer tools, emulators, simulators, or jailbroken or rooted devices;

m. vehicle interface limitations;

n. third-party platform restrictions; or

o. any other factor affecting Location Data.

9.4 Approximate and Delayed Location

You acknowledge and agree that Location Data may be approximate, delayed, unavailable, inconsistent, or inaccurate. The Services may display a location that differs from your actual physical location.

Location Data may also be affected by buildings, tunnels, underground roads, expressways, bridges, elevated structures, multi-storey car parks, dense urban environments, weather, electromagnetic interference, mobile network conditions, satellite positioning limitations, or other environmental and technical factors.

You must not rely on any displayed location as a precise representation of your actual physical position.

9.5 No Continuous Tracking Representation

Unless expressly stated in the Application or our Privacy Policy, the Services are not intended to continuously track your location when you are not actively using the Application.

However, certain features may require location access while the Application is running, when a route is active, when the Application is open in the background, when an in-vehicle interface is active, or when permitted by your Device settings. The precise behaviour may vary depending on operating system rules, Device settings, app permissions, feature availability, and third-party platform requirements.

You are responsible for reviewing and managing your Device permissions if you do not wish the Services to access Location Data.

9.6 No Safety Monitoring

The Services are not a personal safety monitoring system, fleet monitoring system, law enforcement system, emergency response system, rescue system, or real-time tracking service.

We do not monitor your physical safety, driving behaviour, travel route, arrival status, vehicle condition, or journey completion for safety or emergency purposes.

No person should rely on the Services to determine whether a User is safe, has arrived, is delayed, is lost, is in danger, or requires assistance.

9.7 Location Sharing

If the Services include or later introduce any feature that allows you to share Location Data, journey information, estimated arrival time, route information, convoy information, or other location-related information with another person, you shall be solely responsible for:

a. choosing whether to use that feature;

b. selecting the recipient;

c. ensuring that the recipient is authorised to receive such information;

d. understanding the privacy and safety implications of sharing such information;

e. stopping or disabling sharing when no longer required;

f. ensuring that such sharing is lawful; and

g. ensuring that such sharing does not endanger any person or infringe any rights.

We do not guarantee that shared location information will be accurate, current, uninterrupted, secure, timely, or successfully delivered.

9.8 Prohibited Misuse of Location Features

You must not use any location-related feature of the Services to:

a. stalk, track, monitor, harass, threaten, intimidate, or harm any person;

b. determine the location of another person without proper authorisation;

c. facilitate unlawful surveillance;

d. evade law enforcement;

e. facilitate criminal conduct;

f. organise dangerous driving, illegal racing, or other unsafe conduct;

g. interfere with public safety operations;

h. compromise the safety or privacy of any person; or

i. otherwise misuse Location Data.

Any breach of this section may result in immediate suspension or termination of access to the Services and may be reported to relevant authorities where appropriate.

9.9 Location Data and Privacy Policy

Our collection, use, disclosure, storage, retention, protection, and transfer of Location Data that constitutes Personal Data shall be governed by our Privacy Policy.

In the event of any inconsistency between this section and the Privacy Policy regarding the handling of Personal Data, the Privacy Policy shall apply to the extent required by applicable data protection law. However, the operational limitations, disclaimers, and user responsibilities in these Terms of Use shall continue to apply.

10. ROUTE PLANNING, NAVIGATION, AND JOURNEY INFORMATION

10.1 Nature of Route Information

The Services may provide Route Information, including suggested routes, alternative routes, estimated travel times, estimated distances, estimated arrival times, road names, turn indications, map displays, journey comparisons, driving-related information, and other travel-related outputs.

All Route Information is provided for general informational and planning purposes only. Route Information is not intended to be, and must not be treated as, a substitute for your own judgment, actual road conditions, traffic laws, official road signs, police directions, traffic controller instructions, public authority notices, emergency personnel instructions, or any other legal or safety requirement.

10.2 No Guarantee of Route Suitability

We do not warrant, represent, or guarantee that any route displayed or suggested by the Services is:

a. safe;

b. legal;

c. suitable;

d. optimal;

e. fastest;

f. shortest;

g. cheapest;

h. fuel efficient;

i. available;

j. passable;

k. permitted for your vehicle;

l. suitable for your driving ability;

m. suitable for current weather conditions;

n. suitable for current traffic conditions;

o. free from road works, diversions, incidents, hazards, flooding, closures, tolls, restrictions, enforcement action, or delays; or

p. suitable for any particular purpose.

You remain solely responsible for deciding whether a route is appropriate.

10.3 Driver Remains Solely Responsible

Where you use the Services while driving or in connection with driving, you acknowledge and agree that you remain solely responsible for the operation, control, and safety of your vehicle.

You must at all times:

a. drive with due care and attention;

b. comply with all applicable road traffic laws and regulations;

c. obey all road signs, traffic signals, markings, barriers, and physical restrictions;

d. comply with instructions from police, traffic controllers, emergency personnel, transport authorities, and other lawful authorities;

e. observe actual road conditions;

f. assess whether a route or manoeuvre is safe and legal;

g. maintain proper lookout;

h. maintain safe following distance;

i. control your speed;

j. avoid distracted driving;

k. use the Services only when safe and lawful; and

l. discontinue use of the Services where use may distract you or create danger.

10.4 Conflict with Real-World Conditions

If any Route Information, turn indication, map display, route suggestion, notification, or instruction conflicts with actual road conditions, road signs, road markings, traffic signals, police directions, traffic controller directions, emergency personnel directions, physical barriers, official closures, public authority notices, or applicable law, you must disregard the Services and comply with the real-world requirement.

The Services may not always reflect current road arrangements, new roads, changed road layouts, road closures, temporary diversions, construction activity, lane closures, contraflow arrangements, restricted zones, emergency incidents, or other changing conditions.

10.5 No Turn-by-Turn Guarantee

If the Services provide turn-by-turn guidance, route progression, route recalculation, route preview, voice guidance, visual guidance, or in-vehicle display guidance, such features are provided on an informational basis only.

We do not guarantee that such guidance will be accurate, timely, uninterrupted, lawful, safe, or appropriate. You must not follow any instruction that would be unlawful, unsafe, impossible, impractical, or inconsistent with actual road conditions.

10.6 Route Recalculation

The Services may recalculate routes when you deviate from a route, miss a turn, change destination, lose connectivity, lose GPS signal, encounter traffic conditions, or when new data becomes available.

We do not guarantee that recalculation will occur, occur immediately, produce a better route, avoid congestion, avoid tolls, avoid ERP, avoid hazards, or avoid delay.

You are solely responsible for making safe and lawful decisions while a route is being recalculated or while route information is unavailable.

10.7 Estimated Time of Arrival

Estimated time of arrival, estimated journey duration, estimated delay, and related timing information are estimates only.

Actual travel time may differ materially due to traffic congestion, road works, accidents, weather, driver behaviour, vehicle condition, parking time, traffic lights, enforcement operations, public events, route changes, map errors, data delays, mobile network conditions, and other factors.

We do not warrant that you will arrive at any particular time.

10.8 Estimated Distance

Estimated distance is an approximate calculation and may differ from actual distance travelled.

Actual distance may vary due to route changes, missed turns, diversions, car park access roads, service roads, road closures, GPS inaccuracies, map inaccuracies, or other conditions.

10.9 No Professional or Operational Reliance

The Services are not designed or licensed for professional transport operations, commercial fleet routing, logistics dispatch, emergency response, public transport operation, courier dispatch, taxi operation, ride-hailing, ambulance routing, fire response, police response, military use, aviation use, maritime use, industrial operations, hazardous material transport, or any safety-critical purpose.

You must not use the Services as the sole basis for operational, commercial, emergency, or safety-critical decisions.

10.10 High-Risk Areas and Restricted Areas

The Services may not reliably identify or avoid high-risk areas, restricted areas, military areas, protected places, construction zones, industrial zones, private roads, roads unsuitable for certain vehicles, low-clearance routes, weight-restricted routes, height-restricted routes, security-controlled roads, or areas affected by emergencies.

You are solely responsible for ensuring that you do not enter any area unlawfully or unsafely.

10.11 No Liability for Journey Outcomes

To the fullest extent permitted by applicable law, we shall not be liable for any accident, injury, death, property damage, delay, missed appointment, missed flight, missed connection, loss of income, loss of business, traffic offence, fine, penalty, toll charge, ERP charge, fuel cost, parking charge, vehicle damage, insurance claim, legal claim, enforcement action, or other loss arising from or relating to your use of or reliance on Route Information.

11. TRAFFIC, ROAD, INCIDENT, AND TRANSPORT INFORMATION

11.1 Nature of Traffic Information

The Services may display or use traffic information, road condition information, incident information, congestion indicators, delay estimates, traffic speeds, road closure information, road works information, event-related traffic information, and other transport-related data.

Such information may be obtained from third-party providers, public data sources, government data sources, user interactions, map providers, routing providers, transport providers, sensors, APIs, or other sources.

Traffic information is provided for general informational purposes only and may be incomplete, inaccurate, delayed, outdated, unavailable, or inconsistent with actual road conditions.

11.2 No Real-Time Guarantee

We do not warrant, represent, or guarantee that traffic information is real-time, accurate, complete, current, uninterrupted, or error-free.

Traffic conditions may change rapidly. Incidents may occur, clear, worsen, or move before the Services display the relevant information. Data sources may experience delays, omissions, outages, inaccuracies, or reporting gaps.

You must not assume that the absence of displayed traffic information means that a road is clear, safe, open, or free from hazards.

11.3 Road Closures and Diversions

The Services may not always display all road closures, lane closures, diversions, road works, temporary traffic schemes, restricted access areas, police operations, public events, emergency operations, flooding, obstructions, or other disruptions.

You must obey actual signs, barriers, cones, signals, markings, police directions, traffic controller directions, and public authority instructions regardless of what is displayed in the Services.

11.4 Traffic Incidents

Displayed traffic incidents may include accidents, vehicle breakdowns, road works, obstacles, congestion, hazards, emergency events, or other disruptions.

We do not verify all incident information independently. Incident information may be inaccurate, duplicated, incomplete, misclassified, delayed, outdated, or unavailable.

You must not rely solely on incident information to decide whether a route is safe, legal, or suitable.

11.5 Traffic-Based Routing

Where the Services use traffic information to suggest, compare, or modify routes, you acknowledge that such routing is based on available data and algorithmic processing at or around the relevant time.

Traffic-based routes may fail to avoid congestion, may route you into newly congested areas, may be affected by data latency, may be unsuitable for your vehicle, may include roads that become closed, or may produce outcomes that differ from your expectations.

We do not guarantee that any traffic-based route will reduce travel time, avoid incidents, avoid ERP charges, reduce fuel consumption, or produce any particular result.

11.6 Public Data and Government Data

Certain traffic, road, transport, ERP, car park, public transport, weather, or other information may be derived from public sector, government, statutory board, or public agency data sources.

Unless expressly stated, we are not affiliated with, endorsed by, sponsored by, approved by, or acting on behalf of any government, statutory board, public authority, transport operator, road authority, law enforcement agency, or public agency.

Any official information, instruction, notice, or direction issued by a public authority shall prevail over information displayed in the Services.

11.7 User-Reported or Community Information

If the Services include user-reported information, community reports, feedback, corrections, incident reports, or other user-generated road or traffic data, such information may be submitted by users and may not be verified.

We do not guarantee the accuracy, completeness, legality, reliability, timeliness, or suitability of user-reported information.

You must not submit false, misleading, fraudulent, malicious, defamatory, unlawful, unsafe, or harmful traffic or incident information.

11.8 No Obligation to Warn

We are not obliged to warn you of any particular hazard, road condition, traffic condition, incident, restriction, closure, enforcement operation, weather condition, or other event.

The absence of a warning does not mean that no hazard exists.

You remain solely responsible for observing actual conditions and driving safely.

12. ERP, TOLLS, ROAD PRICING, AND CHARGES

12.1 Estimated ERP and Road Pricing Information

The Services may display, calculate, estimate, compare, or reference ERP charges, tolls, congestion charges, road pricing, entry fees, parking-related charges, or similar charges.

All such information is provided for general informational and estimation purposes only.

12.2 No Guarantee of Accuracy

We do not warrant, represent, or guarantee that any ERP, toll, road pricing, congestion charge, or similar estimate is accurate, complete, current, applicable, or payable.

Actual charges may differ from displayed estimates due to:

a. changes in ERP rates;

b. time-based pricing changes;

c. vehicle classification;

d. route changes;

e. gantry timing;

f. gantry location;

g. map inaccuracies;

h. GPS inaccuracies;

i. delayed or outdated data;

j. temporary pricing changes;

k. special events;

l. exemptions or discounts;

m. system outages;

n. government policy changes;

o. vehicle-specific charging rules;

p. OBU or IU-related factors;

q. account or payment status; or

r. other factors outside our control.

12.3 User Responsibility for Charges

You are responsible for complying with all applicable payment, registration, account, device, vehicle, and legal requirements relating to ERP, tolls, road pricing, congestion pricing, parking, and related systems.

12.4 No Avoidance Guarantee

Where the Services offer routes that appear to avoid or reduce ERP charges, tolls, or other road pricing charges, we do not guarantee that such routes will in fact avoid or reduce such charges.

Actual route taken, timing, road conditions, diversions, missed turns, recalculations, pricing changes, GPS errors, and other factors may result in charges being incurred.

12.5 No Financial Advice

Any ERP, toll, fuel, parking, or journey cost information displayed by the Services is not financial advice and must not be treated as such.

The Services do not provide budgeting, tax, accounting, fleet cost management, reimbursement, or financial planning advice.

12.6 No Liability for Charges

To the fullest extent permitted by applicable law, we shall not be liable for any ERP charge, toll, congestion charge, road pricing charge, parking charge, fine, penalty, administrative fee, enforcement action, payment failure, account issue, billing dispute, or other cost arising from or relating to your use of the Services.

13. FUEL COST, VEHICLE DATA, AND COST ESTIMATES

13.1 Fuel Cost Estimates

The Services may provide estimated fuel costs, estimated fuel consumption, cost comparisons, fuel-related route estimates, petrol station preference features, fuel price references, or other vehicle cost information.

All such information is provided for general informational and estimation purposes only.

13.2 Dependence on User-Provided Vehicle Data

Fuel cost and vehicle cost estimates may depend on Vehicle Data or preferences provided by you, including vehicle model, vehicle category, fuel type, estimated fuel efficiency, petrol station preference, driving style, and other assumptions.

If such information is inaccurate, incomplete, outdated, unsuitable, or not representative of your actual vehicle or driving conditions, the resulting estimates may be materially inaccurate.

You are solely responsible for entering, reviewing, and updating Vehicle Data and related preferences.

13.3 Approximate Nature of Fuel Estimates

Fuel estimates may differ from actual fuel usage due to:

a. vehicle condition;

b. tyre pressure;

c. load weight;

d. passengers;

e. air-conditioning usage;

f. driving style;

g. acceleration and braking behaviour;

h. idling time;

i. road gradient;

j. traffic congestion;

k. weather;

m. vehicle modifications;

n. maintenance condition;

o. route changes;

p. GPS inaccuracies;

q. manufacturer rating differences;

Where the Services display or reference any petrol station, fuel provider, pricing source, discount, loyalty programme, brand, or payment method, such display or reference does not constitute endorsement, sponsorship, affiliation, representation, warranty, or recommendation by us unless expressly stated.

You are solely responsible for assessing the suitability, price, availability, quality, and terms of any fuel provider or related service.

13.6 No Vehicle Advice

The Services do not provide mechanical advice, automotive advice, safety inspection advice, emissions advice, regulatory compliance advice, insurance advice, or professional vehicle advice.

Any vehicle-related estimate or information is for convenience only. You are responsible for maintaining your vehicle in a safe, lawful, roadworthy, insured, and properly registered condition.

13.7 No Reimbursement or Expense Reliance

You must not rely on fuel cost estimates, journey cost estimates, or other cost outputs from the Services as the sole basis for reimbursement claims, accounting records, tax filings, employment claims, client billing, fleet reports, or formal financial documentation.

We do not guarantee that any cost estimate will be accepted by an employer, client, tax authority, insurer, court, regulator, or other person.

13.8 No Liability for Cost Differences

To the fullest extent permitted by applicable law, we shall not be liable for any difference between estimated and actual fuel cost, fuel consumption, journey cost, ERP charge, toll charge, parking charge, vehicle cost, reimbursement amount, or other expense.

14. PUBLIC TRANSPORT INFORMATION

14.1 Public Transport Features

The Services may display or provide public transport route suggestions, estimated travel times, walking segments, transfer information, service information, fare-related information, arrival estimates, disruption information, station information, stop information, or other public transport-related content.

Such information may be obtained from third-party providers, public transport operators, public agencies, maps, APIs, schedules, user interactions, or other sources.

14.2 Informational Nature

Public transport information is provided for general informational and planning purposes only.

We do not operate, control, supervise, manage, maintain, schedule, dispatch, or regulate any public transport service, including buses, trains, taxis, ride-hailing services, ferries, shuttles, or other transport services.

14.3 No Guarantee of Accuracy or Availability

We do not warrant, represent, or guarantee that any public transport information is accurate, complete, current, available, uninterrupted, or error-free.

Actual public transport services may differ from displayed information due to:

We do not control third-party data sources and are not responsible for their accuracy, availability, legality, reliability, performance, or continued operation.

16.6 Changes to Third-Party Data

Third-party providers may change, suspend, restrict, degrade, charge for, discontinue, replace, or withdraw their services, APIs, data access, features, pricing, terms, documentation, or service levels at any time.

Such changes may affect the Services and may cause certain features to become unavailable, inaccurate, delayed, incomplete, or discontinued.

We shall not be liable for any impact arising from third-party provider changes.

To the fullest extent permitted by applicable law, we shall not be liable for any loss, damage, cost, expense, injury, delay, fine, penalty, charge, missed appointment, missed connection, accident, property damage, or other consequence arising from or relating to any use of or reliance on third-party data, weather information, environmental information, traffic information, public transport information, ERP information, fuel information, car park information, map information, or other external information displayed through the Services.

17. PLATFORM PROVIDERS, APPLICATION MARKETPLACES, AND DEVICE ECOSYSTEMS

17.1 Access Through Third-Party Platforms

The Application may be downloaded, installed, accessed, purchased, subscribed to, updated, or used through third-party platforms, application marketplaces, operating systems, device ecosystems, payment systems, or vehicle interface systems, including but not limited to the Apple App Store, Google Play Store, iOS, iPadOS, Android, Apple CarPlay, Android Auto, and other current or future platform environments.

Your use of the Services through any such platform may be subject to the terms, conditions, developer rules, usage policies, payment policies, privacy policies, device rules, and technical requirements of the relevant platform provider.

You acknowledge and agree that such third-party platform terms apply in addition to these Terms of Use and that you are responsible for complying with them.

17.2 No Control Over Platform Providers

We do not own, operate, or control any application marketplace, operating system, device ecosystem, vehicle interface, app review system, payment infrastructure, subscription management system, device permission framework, or platform-level technical system operated by a third party.

We shall not be responsible for any act, omission, decision, restriction, delay, outage, suspension, rejection, review outcome, approval process, policy change, technical change, payment issue, refund decision, account action, security measure, or other conduct of any platform provider.

17.3 Platform Provider Terms Prevail for Platform Matters

To the extent your access to or use of the Services is subject to mandatory terms imposed by a platform provider, such platform provider terms shall govern your relationship with the platform provider in relation to that platform.

These Terms of Use shall continue to govern your relationship with us, except where expressly required otherwise by applicable platform rules or applicable law.

In the event of a conflict between these Terms of Use and the applicable platform provider terms, the platform provider terms shall prevail only to the extent required for the relevant platform matter and only as between you and the platform provider, unless applicable law requires otherwise.

17.4 Application Marketplace Accounts

You may require an account with a platform provider in order to download, install, purchase, subscribe to, update, or use the Application.

You are solely responsible for maintaining your platform account, payment methods, subscription settings, purchase records, device settings, operating system settings, parental controls, app permissions, and marketplace credentials.

We are not responsible for any inability to access or use the Services caused by your platform account status, device restrictions, app marketplace settings, parental controls, payment settings, family sharing settings, regional restrictions, operating system version, device compatibility, account suspension, or other platform-related matter.

17.5 Platform Payments

Where payments, subscriptions, renewals, free trials, cancellations, or refunds are processed through a platform provider, the platform provider may be responsible for billing, payment processing, tax calculation, renewal management, refund processing, and subscription cancellation mechanisms.

We may not have the ability to directly issue refunds, cancel subscriptions, modify billing arrangements, change renewal settings, change payment methods, reverse platform charges, or intervene in platform provider decisions.

17.6 Platform Updates and Compatibility

17.7 Platform Review and App Availability

Application marketplaces may review, approve, reject, delay, suspend, restrict, remove, delist, or require modification of the Application or any update at their discretion or in accordance with their own policies.

We do not guarantee that the Application, any update, any feature, any subscription, any integration, or any paid product will be approved, accepted, listed, available, or continuously available on any application marketplace.

17.8 No Platform Provider Responsibility

Unless expressly required by applicable platform terms or applicable law, no platform provider is responsible for:

a. providing the Services;

b. operating the Application;

c. maintaining the Application;

d. providing support for the Application;

e. resolving claims relating to the Application;

f. addressing product liability claims;

g. addressing legal compliance claims;

h. addressing intellectual property claims;

i. addressing privacy claims;

j. guaranteeing accuracy of route, traffic, ERP, fuel, weather, public transport, or parking information; or

k. any matter relating to your use of the Services.

17.9 Third-Party Beneficiaries

Where applicable platform terms require that a platform provider or its subsidiaries be treated as a third-party beneficiary of these Terms of Use, you acknowledge that such platform provider and its subsidiaries may have the right to enforce these Terms of Use against you to the extent required by such platform terms.

Nothing in this section shall create any broader rights for any third party unless required by applicable law or expressly stated in these Terms of Use.

17.10 Device Compatibility

The Services may not be compatible with all Devices, operating systems, vehicles, displays, screen sizes, hardware configurations, software versions, language settings, regional settings, or accessibility configurations.

We may change the minimum technical requirements for the Services from time to time.

You are responsible for ensuring that your Device and operating environment are compatible with the Services.

17.11 Device Permissions

The Services may require device permissions, including location, notifications, background activity, network access, Bluetooth, motion data, storage, microphone, camera, or other permissions, depending on the features used.

You are responsible for reviewing and managing such permissions. If you deny, restrict, or revoke permissions, certain features may be unavailable, inaccurate, incomplete, interrupted, or degraded.

17.12 Platform Restrictions on Features

Some features may be limited, modified, or unavailable due to platform provider restrictions, operating system policies, app marketplace rules, safety requirements, vehicle interface rules, notification limitations, privacy controls, or payment policies.

We shall not be liable for any limitation, removal, delay, or degradation of a feature caused by or relating to platform restrictions.

18. APPLE CARPLAY, IN-VEHICLE INTERFACES, AND VEHICLE DISPLAY USE

18.1 CarPlay and In-Vehicle Functionality

The Services may include features designed for use through Apple CarPlay, vehicle display systems, infotainment systems, or other in-vehicle interfaces.

Such features are provided for convenience only and may be limited in scope, design, display, interaction methods, routing behaviour, functionality, availability, and performance compared with the mobile Application.

18.2 Safety First

You acknowledge and agree that your primary obligation while driving is to operate your vehicle safely and lawfully.

You must not use CarPlay, in-vehicle interfaces, voice controls, vehicle displays, steering wheel controls, or the Application in any manner that distracts you, obstructs your view, interferes with vehicle operation, causes unsafe driving, violates any law, or creates danger to any person or property.

You must immediately stop interacting with the Services if interaction is unsafe, distracting, unlawful, or inappropriate in the circumstances.

18.3 Driver Responsibility Remains Unchanged

Use of the Services through CarPlay or any in-vehicle interface does not reduce, transfer, or modify your responsibility as a driver.

You remain solely responsible for:

a. controlling your vehicle;

b. complying with road traffic laws;

c. observing actual road conditions;

d. obeying signs, signals, barriers, markings, and authority directions;

e. determining whether a route, turn, lane, instruction, or manoeuvre is safe and lawful;

f. maintaining attention on the road;

g. securing your Device and vehicle controls;

h. avoiding distraction; and

i. ensuring that any passenger or third party using the interface does not create unsafe conditions.

18.4 Vehicle and Interface Compatibility

CarPlay and in-vehicle features may depend on your vehicle, head unit, infotainment system, cable, wireless connection, operating system version, app version, region, vehicle settings, platform provider rules, and manufacturer support.

We do not warrant that the Services will be compatible with your vehicle, vehicle display, in-vehicle controls, microphone, speakers, steering wheel controls, touch display, wireless connection, wired connection, or infotainment software.

18.5 Limited Display and Interaction

In-vehicle interfaces may intentionally restrict, simplify, omit, modify, or rearrange Application features to comply with platform, vehicle, safety, or technical requirements.

Features available on the mobile Application may not be available through CarPlay or other vehicle interfaces. Information may be displayed differently, delayed, shortened, simplified, or hidden.

You must not assume that the in-vehicle interface provides complete information.

18.6 Voice Guidance and Audio Output

Where the Services provide voice guidance, audio prompts, sound alerts, or spoken route information, such output may be delayed, mispronounced, incomplete, interrupted, muted, inaudible, unavailable, or inconsistent with visual information.

Audio output may be affected by vehicle volume, Bluetooth settings, media playback, phone calls, operating system settings, language settings, speaker condition, network conditions, or other technical factors.

You must not rely solely on voice guidance.

18.7 Vehicle Display Accuracy

Maps, route lines, arrows, visual instructions, lane indications, speed-related information, road names, distance markers, and other visual outputs on a vehicle display may be approximate, delayed, simplified, distorted, scaled, or otherwise different from real-world conditions.

You must always observe actual road conditions and comply with applicable law.

18.8 No Vehicle Control

The Services do not control your vehicle and are not intended to control steering, braking, acceleration, gear selection, lane keeping, adaptive cruise control, autonomous driving, parking assistance, emergency braking, driver monitoring, or any other vehicle control system.

You must not rely on the Services as an autonomous driving, driver assistance, collision avoidance, advanced driver assistance, or vehicle safety system.

18.9 No Integration Warranty

We do not warrant that CarPlay or any in-vehicle integration will be uninterrupted, error-free, available, approved, supported, maintained, or continued.

CarPlay functionality may be affected by platform provider rules, vehicle manufacturer changes, operating system updates, device issues, app review requirements, connection errors, cables, wireless interference, regional availability, safety policies, or third-party restrictions.

18.10 Vehicle Manufacturer and Platform Provider Responsibility

Vehicle manufacturers, platform providers, operating system providers, telecommunications providers, and infotainment system providers may impose rules, restrictions, technical limitations, safety requirements, and service conditions on in-vehicle functionality.

We are not responsible for such third-party requirements, restrictions, limitations, changes, outages, defects, failures, or incompatibilities.

18.11 No Use in Unsafe Circumstances

You must not use the Services through CarPlay or any in-vehicle interface where doing so would be unsafe, including during complex driving conditions, heavy traffic, adverse weather, poor visibility, emergency situations, unfamiliar road conditions, road works, vehicle malfunction, fatigue, distraction, or any situation requiring heightened attention.

18.12 Passenger Use

If a passenger interacts with the Services on your behalf, you remain responsible for ensuring that such interaction does not distract you, interfere with driving, cause unsafe decisions, or result in unlawful conduct.

18.13 CarPlay Availability

CarPlay support may be added, modified, limited, removed, suspended, or discontinued at any time, subject to applicable law and platform requirements.

We do not guarantee that CarPlay support will remain available or that it will include any particular feature.

18.14 No Liability for In-Vehicle Use

To the fullest extent permitted by applicable law, we shall not be liable for any accident, injury, death, property damage, traffic offence, fine, penalty, vehicle damage, distraction-related loss, route error, delay, missed turn, unsafe manoeuvre, device issue, vehicle interface issue, or other consequence arising from or relating to use of the Services through CarPlay, a vehicle display, or any in-vehicle interface.

19. ANDROID AUTO AND FUTURE PLATFORM INTEGRATIONS

19.1 Future Platform Features

The Services may in the future support Android Auto, additional vehicle interfaces, wearable devices, desktop platforms, web platforms, smart displays, voice assistants, widgets, shortcuts, APIs, third-party integrations, or other platform-specific features.

Any such features may be subject to additional terms, platform provider requirements, technical limitations, approval processes, privacy rules, safety rules, and availability restrictions.

19.2 No Obligation to Launch Future Features

Any statement, roadmap, preview, announcement, marketing material, development note, reference, screenshot, prototype, discussion, or representation relating to future platform support or future features is non-binding unless expressly stated in a written agreement signed by us.

We are not obliged to launch, maintain, support, complete, release, or continue any future feature, integration, platform support, product, subscription plan, or service.

19.3 Platform-Specific Differences

Features may differ materially across iOS, Android, web, vehicle interfaces, wearable devices, and other platforms.

Such differences may include functionality, design, performance, data availability, routing behaviour, subscription availability, payment methods, pricing, language support, region support, notification behaviour, map display, location handling, background activity, and update frequency.

We do not guarantee feature parity between platforms.

19.4 Android Auto and Vehicle Interface Use

If Android Auto or any similar vehicle interface is made available, your use of such feature shall be subject to the same driver responsibility, road safety, platform dependency, vehicle compatibility, and in-vehicle use limitations set out in these Terms of Use, including the provisions relating to CarPlay and in-vehicle interfaces.

You remain solely responsible for safe and lawful driving regardless of the platform used.

19.5 Third-Party Approval

Certain platform integrations may require review, certification, approval, technical compliance, or continued permission from third-party platform providers or vehicle ecosystem operators.

We do not guarantee that such approval will be granted, maintained, renewed, or continued.

19.6 Withdrawal of Integrations

We may suspend, restrict, modify, remove, or discontinue any platform integration if required by a platform provider, technical issue, safety issue, legal requirement, commercial decision, user safety concern, third-party policy, operational limitation, or any other reason.

We shall not be liable for any loss arising from withdrawal or modification of a platform integration.

19.7 No Reliance on Roadmap

You must not make any purchasing decision, subscription decision, business decision, investment decision, travel decision, product decision, or reliance decision based on anticipated future features, future platform support, or future integrations unless such commitment is expressly set out in a written agreement signed by us.

19.8 Integrations

Future integrations may be released initially as, preview, trial, experimental, limited, invite-only, region-limited, or platform-limited features.

Such integrations may be unstable, incomplete, inaccurate, or discontinued at any time.

20. PAID FEATURES, SUBSCRIPTIONS, TRIALS, AND IN-APP PURCHASES

20.1 Paid Services

We may offer certain features, content, tools, subscriptions, memberships, premium services, in-app purchases, add-ons, credits, or other paid offerings in connection with the Services.

Paid Services may include access to enhanced features, additional usage limits, personalised tools, advanced estimates, convenience features, integrations, analytics, saved history, premium support, or other benefits as we may determine from time to time.

20.2 Separate Paid Terms

Paid Services may be subject to additional terms, including subscription terms, product descriptions, pricing terms, billing terms, app marketplace terms, refund rules, promotional terms, or other supplemental terms.

By purchasing or subscribing to any Paid Service, you agree to the applicable additional terms and authorise the relevant payment processor or platform provider to charge the applicable Fees.

20.3 Pricing

Prices for Paid Services may be displayed within the Application, on our website, through an application marketplace, or through other channels.

Prices may vary depending on region, currency, taxes, platform, promotion, subscription plan, billing period, feature package, account status, or other factors.

We may change prices at any time, subject to applicable law and platform provider requirements.

20.4 Currency and Taxes

Fees may be charged in the currency displayed at the time of purchase or in the currency determined by the relevant platform provider or payment processor.

Fees may be inclusive or exclusive of applicable taxes, goods and services tax, value-added tax, sales tax, withholding tax, duties, levies, foreign exchange charges, bank charges, card charges, platform fees, or other charges, depending on the relevant payment flow and applicable law.

You are responsible for all applicable taxes and charges associated with your purchase or use of Paid Services, except taxes based on our income.

20.5 Subscription Plans

Subscriptions may be offered on a weekly, monthly, annual, or other recurring basis.

The benefits, features, limitations, renewal period, price, usage limits, and cancellation rights applicable to a Subscription will be described at or before the time of purchase or as otherwise required by applicable law.

20.6 Automatic Renewal

Unless cancelled before the end of the applicable billing period or trial period, Subscriptions may renew automatically for successive billing periods.

By purchasing a Subscription, you authorise us, the relevant platform provider, or the relevant payment processor to charge the applicable Fees on a recurring basis until the Subscription is cancelled in accordance with the applicable cancellation process.

20.7 Cancellation

You are responsible for cancelling your Subscription through the applicable cancellation mechanism.

If your Subscription was purchased through an application marketplace, you may be required to cancel through that marketplace’s subscription management settings.

Deleting the Application, deleting your Account, disabling notifications, disabling permissions, ceasing use of the Services, or contacting customer support may not automatically cancel your Subscription unless expressly stated by the relevant platform or confirmed by us.

20.8 Effect of Cancellation

Unless otherwise stated, cancellation of a Subscription will take effect at the end of the then-current billing period. You may continue to access the paid features until the end of that period, subject to these Terms of Use.

We do not guarantee refunds or prorated refunds for unused portions of a Subscription unless required by applicable law or applicable platform rules.

20.9 Free Trials

We may offer free trials, discounted trials, introductory pricing, promotional access, or limited-time access to certain Paid Services.

Trial terms may vary and may be subject to eligibility requirements, account limits, region limits, platform rules, payment method requirements, or other conditions.

Unless cancelled before the end of the trial period, a trial may convert into a paid Subscription and the applicable Fees may be charged automatically.

20.10 Trial Abuse

You must not abuse trial offers, promotional access, referral programmes, discounts, or subscription benefits by creating multiple accounts, using false information, manipulating devices, exploiting platform systems, sharing credentials, reselling access, or otherwise circumventing eligibility rules.

We may suspend or terminate access, cancel benefits, refuse refunds, or take other appropriate action where we reasonably believe that trial or promotional abuse has occurred.

20.11 In-App Purchases

In-app purchases may be consumable, non-consumable, subscription-based, limited, feature-specific, account-specific, device-specific, or platform-specific.

The rights associated with an in-app purchase are limited to the scope described at the time of purchase and do not create any ownership interest in the Services.

20.12 Feature Availability for Paid Services

Paid features may depend on third-party data, platform providers, network connectivity, device compatibility, region availability, location permissions, app version, account status, or other factors.

We do not guarantee that every paid feature will be available at all times, in all locations, on all Devices, or through all interfaces.

20.13 No Guarantee of Savings

Where Paid Services include features intended to assist with route comparison, cost estimates, ERP estimates, fuel cost estimates, journey history, travel optimisation, or other convenience functions, we do not warrant that such features will produce savings, reduce travel time, reduce fuel usage, avoid charges, improve efficiency, increase accuracy, or produce any financial benefit.

20.14 Promotional Offers

We may offer promotions, discounts, coupons, referral benefits, student offers, launch offers, or other special terms.

Promotions may be withdrawn, modified, limited, or terminated at any time, subject to applicable law. Promotions may not be transferable, redeemable for cash, combinable with other offers, or available to all users.

20.15 Account Standing

Access to Paid Services may require your Account to remain in good standing, your payment method to remain valid, your Subscription to remain active, and your use to comply with these Terms of Use.

We may suspend access to Paid Services if payment fails, chargebacks occur, fraud is suspected, platform access is revoked, or you breach these Terms of Use.

21. PAYMENTS, BILLING, REFUNDS, CHARGEBACKS, AND TAXES

21.1 Payment Processing

Payments may be processed by us, a platform provider, an application marketplace, a payment processor, a card network, a bank, or other third-party payment service provider.

You agree to comply with all applicable payment terms, platform rules, payment processor terms, card network rules, bank requirements, and applicable laws.

21.2 Payment Authorisation

By submitting payment information or confirming a purchase, you represent and warrant that:

a. you are authorised to use the selected payment method;

b. the payment information provided is accurate, complete, and current;

c. you authorise the applicable Fees to be charged;

d. you will pay all applicable Fees, taxes, and charges;

e. you will not use payment methods fraudulently or without authorisation; and

f. you will promptly update payment information where necessary.

21.3 Failed Payments

If payment cannot be processed, access to the relevant Paid Services may be suspended, restricted, downgraded, terminated, or delayed.

We are not responsible for any loss, interruption, data loss, feature loss, or inability to access Paid Services resulting from payment failure, expired payment methods, insufficient funds, card decline, account restrictions, chargebacks, bank action, platform action, payment processor action, or other payment-related issues.

21.4 Billing Errors

If you believe that you have been billed in error, you must contact us or the relevant platform provider promptly and provide sufficient information to investigate the matter.

Where billing is handled by a platform provider, we may direct you to the relevant platform provider because we may not have authority or technical ability to modify, reverse, or refund the charge.

21.5 Refund Policy

Unless otherwise required by applicable law or applicable platform provider rules, all Fees are non-refundable.

No refunds or credits will be provided for:

a. partial billing periods;

b. unused features;

c. failure to use the Services;

d. dissatisfaction with estimates;

e. inaccurate route information;

f. third-party data inaccuracies;

g. temporary unavailability;

h. change of mind;

i. deleted Accounts;

j. uninstalled Applications;

k. revoked permissions;

l. incompatible Devices;

m. failure to cancel before renewal;

n. platform restrictions; or

o. feature changes made in accordance with these Terms of Use.

21.6 Platform Refunds

Where a purchase is made through an application marketplace or platform provider, refund requests may be subject to the refund policies and procedures of that platform provider.

We do not guarantee that any platform provider will grant a refund. A platform provider’s refund decision may be final as between you and that platform provider.

21.7 Chargebacks

You must not initiate a chargeback, payment reversal, payment dispute, or similar action without a good faith basis.

Where a chargeback or payment dispute is initiated, we may suspend or terminate access to the relevant Account or Paid Services pending resolution.

If a chargeback is found to be improper, fraudulent, or inconsistent with these Terms of Use, we may seek recovery of Fees, costs, administrative expenses, legal fees, and other losses to the fullest extent permitted by applicable law.

21.8 Taxes

You are responsible for any taxes, duties, levies, fees, or other governmental charges associated with your purchase, subscription, receipt, or use of Paid Services, except taxes based on our income.

Where required, we or our payment processors may collect and remit applicable taxes.

21.9 Price Changes

We may change Fees for Paid Services from time to time.

For recurring Subscriptions, price changes may take effect at the next renewal or such other time permitted by applicable law and platform provider rules.

If you do not agree to a price change, your remedy is to cancel the relevant Subscription before the price change takes effect.

21.10 No Set-Off

You must pay all Fees without set-off, withholding, deduction, counterclaim, or reduction, except as required by applicable law.

21.11 Fraud Prevention

We may use fraud prevention tools, payment verification, transaction monitoring, device checks, account checks, platform checks, and other measures to detect, prevent, and respond to payment fraud, abuse, unauthorised transactions, or suspicious activity.

We may refuse, cancel, suspend, or delay transactions where fraud, abuse, or unauthorised activity is suspected.

21.12 No Resale

You must not resell, transfer, assign, sublicense, share, commercially exploit, or otherwise make Paid Services available to any third party unless expressly authorised by us in writing.

22. FEATURES, EXPERIMENTAL FEATURES, AND PRE-RELEASE ACCESS

22.1 Features

We may from time to time make available, experimental, preview, trial, early access, prototype, test, limited release, invite-only, unreleased, or pre-release features.

Such features may be labelled as or experimental, but absence of such label does not prevent a feature from being under active development, subject to testing, or subject to change.

22.2 Use at Own Risk

features are provided for testing, feedback, evaluation, and development purposes only.

You acknowledge that features may be incomplete, unstable, inaccurate, unavailable, unreliable, insecure, defective, or unsuitable for ordinary use.

You use features at your own risk.

22.3 No Reliance on Features

You must not rely on features for safety-critical, commercial, operational, emergency, legal, financial, transport, navigation, or important personal decisions.

In particular, you must not rely on route guidance, cost estimates, traffic information, ERP estimates, CarPlay features, Android Auto features, convoy features, predictive routing, alerts, or third-party data integrations as accurate, complete, current, or dependable.

22.4 Changes and Discontinuance

We may modify, suspend, restrict, reset, discontinue, or remove features at any time without notice.

features may never become generally available. If they become generally available, they may differ substantially from the version.

22.5 Feedback on Features

If you provide feedback regarding features, such feedback shall be subject to the feedback licence in these Terms of Use.

We may use such feedback without restriction, compensation, attribution, or obligation to you.

22.6 Data Loss and Reset

features may result in loss, corruption, alteration, deletion, or resetting of settings, preferences, saved data, routes, history, test data, or other information.

You should not store important information solely within features.

We shall not be responsible for any loss or damage arising from feature data loss or reset.

22.7 Confidential Access

Where access is provided on a confidential, private, invite-only, or restricted basis, you must not disclose, copy, publish, post, share, review, record, stream, screenshot, reverse engineer, benchmark, or otherwise reveal features, documentation, screenshots, performance, defects, designs, or roadmap information without our prior written consent.

22.8 No Compensation

You are not entitled to compensation, payment, credit, refund, reward, employment, contractor status, ownership rights, or other benefit for testing features, reporting bugs, providing feedback, or participating in early access programmes, unless expressly agreed by us in writing.

22.9 Termination of Access

We may terminate or restrict your access at any time and for any reason, including breach of these Terms of Use, operational needs, safety concerns, platform requirements, abuse prevention, or completion of testing.

23. UPDATES, MODIFICATIONS, MAINTENANCE, AND PRODUCT CHANGES

23.1 Right to Modify Services

We may update, modify, enhance, redesign, rebrand, reconfigure, restrict, suspend, discontinue, replace, or remove any part of the Services at any time, subject to applicable law.

This may include changes to:

a. features;

b. interfaces;

c. maps;

d. routing logic;

e. cost calculations;

f. ERP estimates;

g. fuel estimates;

h. public transport features;

i. car park features;

j. weather features;

k. CarPlay or vehicle interface features;

l. subscriptions;

m. pricing;

n. free features;

o. paid features;

p. data sources;

q. algorithms;

r. supported devices;

s. supported regions;

t. account features;

u. storage limits;

v. notifications;

w. support channels; and

x. any other part of the Services.

23.2 No Obligation to Maintain Features

We are not obliged to maintain any particular feature, function, integration, interface, data source, design, pricing model, subscription plan, free service, paid service, route option, display format, support channel, or technical capability.

Your continued use of the Services is subject to the Services as made available from time to time.

23.3 Required Updates

We may require you to install updates in order to continue using the Services.

Older versions of the Application may stop working, become unsupported, lose access to certain features, contain unresolved errors, or present security risks.

We may block, restrict, or degrade access from outdated versions of the Application where necessary for security, compatibility, operational, legal, or product reasons.

23.4 Automatic Updates

Depending on your Device settings, operating system, and platform provider, updates may be downloaded or installed automatically.

You are responsible for managing your update settings through your Device or platform account.

23.5 Maintenance

We may perform scheduled or unscheduled maintenance, repairs, upgrades, migrations, tests, security measures, infrastructure changes, database changes, or other operational activities.

During maintenance, the Services may be unavailable, interrupted, degraded, delayed, inaccurate, or limited.

We are not obliged to provide prior notice of maintenance, although we may do so where reasonably practicable.

23.6 Emergency Changes

We may take immediate action without notice where we consider it necessary to address security risks, legal risks, safety concerns, fraud, abuse, platform requirements, third-party provider issues, data inaccuracies, operational failures, or other urgent matters.

Such action may include disabling features, suspending access, removing content, changing data sources, restricting usage, rolling back updates, or modifying functionality.

23.7 Product Rebranding

We may rename, rebrand, restructure, merge, separate, replace, or reposition the Services or any part thereof.

Any rebranding or restructuring shall not affect the validity of these Terms of Use unless expressly stated.

23.8 Changes to Free Features

Features that are initially provided free of charge may later become paid features, subscription features, limited features, usage-based features, or discontinued features.

We do not guarantee that any free feature will remain free or available.

23.9 Changes to Paid Features

Paid features may be modified, replaced, or discontinued, subject to applicable law and platform provider rules.

Where a material change affects an active Subscription, we may provide notice or remedies as required by applicable law or applicable platform rules.

23.10 Backward Compatibility

We do not guarantee backward compatibility with older Devices, operating systems, app versions, vehicle interfaces, account configurations, saved data structures, or third-party integrations.

23.11 No Liability for Product Changes

To the fullest extent permitted by applicable law, we shall not be liable for any loss, inconvenience, data loss, feature loss, subscription dissatisfaction, business disruption, device incompatibility, operational impact, or other consequence arising from or relating to updates, modifications, maintenance, discontinuance, rebranding, or product changes made in accordance with these Terms of Use.

24. SERVICE AVAILABILITY, CONNECTIVITY, PERFORMANCE, AND SUPPORT

24.1 No Continuous Availability

The Services are provided on an availability basis and may be interrupted, delayed, unavailable, inaccurate, degraded, or discontinued from time to time.

We do not warrant that the Services will be available continuously, securely, uninterruptedly, or without error.

24.2 Factors Affecting Availability

Availability and performance may be affected by many factors, including:

a. internet connectivity;

b. mobile network coverage;

c. GPS signal quality;

d. Device performance;

e. operating system restrictions;

f. app marketplace restrictions;

g. vehicle interface limitations;

h. server capacity;

i. cloud hosting performance;

j. database performance;

k. third-party API availability;

l. map provider performance;

m. traffic data availability;

n. public transport data availability;

o. weather data availability;

p. car park data availability;

q. payment provider availability;

r. cyberattacks;

s. security measures;

t. maintenance;

u. legal or regulatory requirements;

v. force majeure events;

w. user settings;

x. app version; and

y. other technical or operational factors.

24.3 No Service Level Commitment

Unless expressly agreed in a separate written agreement signed by us, we do not provide any service level agreement, uptime guarantee, response time guarantee, resolution time guarantee, accuracy guarantee, support guarantee, or performance guarantee.

24.4 Outages

The Services may experience outages or service degradation.

Outages may affect route planning, map loading, location display, account access, saved data, payment status, subscription validation, CarPlay functionality, notifications, public transport information, ERP estimates, fuel estimates, weather information, car park information, and other features.

You should not rely on the Services as your sole source of travel information.

24.5 Offline Use

The Services may require internet connectivity for some or all features.

Offline functionality, if any, may be limited, outdated, incomplete, unavailable, or inaccurate. Cached information may not reflect current road, traffic, weather, public transport, ERP, fuel, or car park conditions.

24.6 Support Services

We may provide customer support, technical support, help articles, FAQs, email support, in-app support, website support, or other support channels.

Support availability, response times, scope, language, and format may vary. We do not guarantee that support will be available, immediate, successful, or capable of resolving every issue.

24.7 Support Communications

When you contact support, you agree to provide accurate, complete, and relevant information necessary to investigate or respond to your request.

We may request logs, screenshots, device information, app version, operating system version, route details, account information, payment information, or other information reasonably required to provide support.

24.8 No Duty to Provide Custom Support

Unless expressly agreed in writing, we are not obliged to provide custom development, custom integration, data correction, route verification, reimbursement, journey planning, legal advice, transport advice, emergency assistance, business support, enterprise support, or priority support.

24.9 User Conduct in Support Channels

You must not abuse, threaten, harass, defame, spam, impersonate, mislead, or otherwise misuse support channels.

We may refuse, restrict, or terminate support where a User engages in abusive, unlawful, excessive, bad faith, fraudulent, or inappropriate conduct.

24.10 Diagnostic Data

We may collect and use diagnostic data, logs, crash reports, performance data, usage data, and technical information for troubleshooting, support, security, analytics, and product improvement, in accordance with our Privacy Policy.

24.11 No Liability for Support Outcomes

To the fullest extent permitted by applicable law, we shall not be liable for any loss arising from delayed support, unavailable support, unsuccessful support, incorrect user-provided information, inability to reproduce an issue, inability to resolve a technical problem, or reliance on support communications.

25. NOTIFICATIONS, ALERTS, COMMUNICATIONS, AND USER MESSAGES

25.1 Service Communications

We may send you service-related communications in connection with the Services, including administrative notices, account notices, security alerts, technical notices, subscription notices, payment notices, policy updates, feature updates, support responses, and other non-marketing communications.

Such communications may be sent through the Application, push notifications, email, SMS, website notices, app marketplace notices, platform notifications, or other reasonable channels.

25.2 Push Notifications

The Services may send push notifications, alerts, reminders, route updates, traffic notifications, weather suggestions, car park notices, service notices, payment notices, or other notifications where enabled.

You may be able to manage notification permissions through your Device settings, operating system settings, or Application settings.

If you disable notifications, certain alerts or service communications may not be received, may be delayed, or may be less visible.

25.3 Notification Accuracy and Timing

Notifications and alerts may be delayed, inaccurate, incomplete, duplicated, unavailable, or not delivered.

Delivery may be affected by Device settings, operating system restrictions, network conditions, notification permissions, focus modes, battery settings, platform provider systems, server issues, third-party data, and other factors.

We do not guarantee that any notification will be delivered, delivered on time, read by you, acted upon by you, or accurate when delivered.

25.4 No Safety Reliance on Notifications

You must not rely on notifications as your sole source of safety, traffic, route, weather, ERP, public transport, parking, or journey information.

The absence of a notification does not mean that no hazard, delay, charge, closure, disruption, weather issue, or relevant event exists.

25.5 Marketing Communications

Where permitted by applicable law and, where required, with your consent, we may send marketing communications, promotional messages, product announcements, offers, surveys, or other non-essential communications.

You may opt out of marketing communications through the relevant unsubscribe mechanism or by contacting us where applicable.

Even if you opt out of marketing communications, you may still receive non-marketing service communications.

25.6 User Messages and Feedback

If the Services allow you to send messages, feedback, reviews, reports, corrections, suggestions, or other communications to us or to other users, you are solely responsible for the content of such communications.

You must not send communications that are unlawful, false, misleading, defamatory, abusive, threatening, harassing, obscene, discriminatory, malicious, spam, fraudulent, infringing, privacy-invasive, or otherwise objectionable.

25.7 No Confidentiality in General Feedback

Unless expressly agreed by us in writing, any general feedback, suggestion, idea, bug report, feature request, comment, review, or proposal submitted by you shall not be treated as confidential.

You should not submit information that you consider confidential, proprietary, commercially sensitive, or personally sensitive unless we have specifically requested it through an appropriate channel.

25.8 Communications Monitoring

We may monitor, review, store, moderate, remove, restrict, or disclose communications submitted through the Services where we consider it necessary or appropriate for support, security, legal compliance, enforcement, fraud prevention, product improvement, or protection of rights and safety, subject to applicable law and our Privacy Policy.

25.9 Contact Information

You are responsible for ensuring that your contact information is accurate and current.

We shall not be responsible for any failure to receive communications arising from inaccurate contact information, disabled notifications, spam filters, blocked senders, changed email addresses, full inboxes, device settings, platform issues, or network problems.

25.10 Legal Notices by Electronic Means

To the fullest extent permitted by applicable law, you consent to receive legal notices, contractual notices, policy updates, and other important communications electronically.

Electronic notices may be provided by email, in-app notice, website posting, app marketplace notice, or other reasonable electronic method.

25.11 Communications From You

Notices, complaints, support requests, privacy requests, legal requests, and other communications from you must be sent through the channels we designate.

We are not obliged to act on communications sent to informal, personal, inactive, incorrect, or unauthorised channels.

25.12 No Liability for Communications Failure

To the fullest extent permitted by applicable law, we shall not be liable for any loss arising from delayed, failed, inaccurate, undelivered, unread, filtered, blocked, duplicated, or unavailable communications, notifications, alerts, or messages.

26. SUSPENSION, RESTRICTION, AND ENFORCEMENT

26.1 Right to Suspend or Restrict Access

We may, at any time and without liability to you, suspend, restrict, disable, limit, downgrade, block, or otherwise modify your access to the Services, your Account, any feature, any Paid Service, any Subscription benefit, any data, any User Content, or any other part of the Services where we consider it necessary or appropriate.

Such action may be taken with or without prior notice, subject to applicable law.

26.2 Grounds for Suspension or Restriction

Without limiting our other rights under these Terms of Use, we may suspend, restrict, or disable access where we reasonably believe that:

a. you have breached these Terms of Use;

b. you have breached any applicable law or regulation;

c. you have breached any third-party platform terms;

d. you have provided false, inaccurate, incomplete, outdated, or misleading information;

e. your Account has been compromised or may have been compromised;

f. your use of the Services presents a security risk;

g. your use of the Services presents a safety risk;

h. your use of the Services presents a legal, regulatory, operational, technical, financial, reputational, or commercial risk to us, our users, our service providers, or any third party;

i. fraudulent, suspicious, abusive, automated, excessive, or unauthorised activity is detected;

j. payment has failed, been reversed, been disputed, or is suspected to be unauthorised;

k. a chargeback, refund abuse, trial abuse, or promotional abuse has occurred or is suspected;

l. you have misused location features, traffic features, route features, vehicle interface features, support channels, or communications channels;

m. you have attempted to reverse engineer, scrape, extract, overload, interfere with, or compromise the Services;

n. suspension is necessary for maintenance, security, fraud prevention, legal compliance, platform compliance, or technical reasons;

o. suspension is required or requested by a platform provider, payment provider, law enforcement agency, regulator, court, government authority, service provider, or rights holder;

p. continued access may result in harm, unlawful conduct, infringement, misuse, or disruption; or

q. any other circumstance exists that we consider reasonably justifies suspension or restriction.

26.3 Immediate Action

We may take immediate action without prior notice where we consider that delay may result in harm, loss, legal exposure, security compromise, fraud, misuse, infringement, regulatory breach, third-party claim, operational disruption, or risk to any person or property.

Immediate action may include disabling your Account, blocking access, revoking tokens, cancelling transactions, removing User Content, disabling features, suspending Subscriptions, preserving records, notifying relevant parties, or taking technical countermeasures.

26.4 Investigation

We may investigate suspected violations of these Terms of Use, suspected unlawful activity, suspected misuse, suspected fraud, suspected security incidents, suspected payment abuse, suspected data scraping, suspected infringement, or any other conduct relating to the Services.

You agree to cooperate reasonably with any such investigation and to provide information reasonably requested by us.

We may preserve, review, disclose, or provide information relating to your Account, use of the Services, transactions, communications, logs, diagnostic data, User Content, or other relevant records where permitted or required by applicable law.

26.5 No Obligation to Reinstate Access

Suspension or restriction may be temporary or permanent.

We are not obliged to reinstate access unless required by applicable law or unless we expressly agree to do so.

Where we reinstate access, we may impose conditions, including identity verification, payment verification, password reset, removal of User Content, acceptance of updated terms, technical restrictions, usage limits, or other safeguards.

26.6 Effect on Paid Services

Suspension or restriction of access may affect your ability to use Paid Services.

Unless required by applicable law or applicable platform rules, you will not be entitled to any refund, credit, compensation, extension, or other remedy for suspension, restriction, or loss of access arising from your breach of these Terms of Use, suspected misuse, payment failure, security risk, platform restriction, legal requirement, or other permitted enforcement action.

26.7 Preservation of Rights

Any suspension, restriction, investigation, or enforcement action taken by us shall be without prejudice to our other rights and remedies under these Terms of Use, applicable law, equity, contract, tort, statute, or otherwise.

Our failure to take immediate action in response to any breach shall not constitute a waiver of our right to act later.

27. TERMINATION

27.1 Termination by You

You may stop using the Services at any time.

Where account deletion functionality is available, you may request deletion of your Account through the Application or by contacting us through the designated support channel.

If you have an active Subscription or other Paid Service, you are responsible for cancelling it through the applicable payment processor, application marketplace, or subscription management mechanism. Deleting the Application, deleting your Account, or ceasing use of the Services may not automatically cancel your Subscription.

27.2 Termination by Us

We may terminate these Terms of Use, your Account, your licence to use the Services, your access to any feature, or your access to the Services as a whole at any time where:

a. you breach these Terms of Use;

b. you breach applicable law;

c. you breach third-party platform terms;

d. your Account remains inactive for an extended period;

e. we discontinue the Services or any relevant part thereof;

f. we are required or requested to do so by law, court order, regulator, government authority, platform provider, payment provider, service provider, or rights holder;

g. your use of the Services creates legal, security, operational, safety, financial, reputational, technical, or commercial risk;

h. your payment fails or is disputed;

i. you engage in fraud, abuse, misuse, harassment, infringement, reverse engineering, scraping, unauthorised access, or other prohibited conduct;

j. you misuse navigation, location, CarPlay, vehicle interface, traffic, ERP, fuel, parking, public transport, weather, account, payment, notification, support, or communications features;

k. continued provision of the Services to you is no longer commercially, technically, legally, or operationally viable; or

l. we otherwise have a lawful basis to terminate.

27.3 Termination Without Cause

To the fullest extent permitted by applicable law, we may terminate, discontinue, or cease providing the Services, or any part thereof, without cause by providing notice through the Application, website, email, platform notice, or other reasonable means.

Where Paid Services are affected, any remedy shall be limited to the remedy required by applicable law or applicable platform provider rules.

27.4 Effect of Termination

Upon termination:

a. your right to access and use the Services shall cease immediately;

b. the licence granted to you under these Terms of Use shall terminate;

c. you must stop using the Services;

d. you must uninstall or delete the Application if requested by us;

e. we may disable or delete your Account;

f. we may restrict access to User Content, saved data, journey history, favourites, preferences, subscription benefits, and other Account-related information;

g. we may cancel pending transactions, where permitted;

h. we may retain information where required or permitted by law; and

i. all provisions intended by their nature to survive termination shall continue to apply.

27.5 Retention After Termination

Termination does not require us to delete all information immediately.

We may retain Account information, transaction records, logs, diagnostic data, User Content, communications, payment records, support records, legal records, security records, and other information where required or permitted for legal, regulatory, tax, accounting, audit, fraud prevention, security, dispute resolution, enforcement, backup, business continuity, or legitimate operational purposes.

Any Personal Data retained after termination shall be handled in accordance with our Privacy Policy and applicable data protection law.

27.6 Survival

The following provisions shall survive termination, expiry, suspension, discontinuance, or cessation of use:

a. definitions and interpretation;

b. intellectual property provisions;

c. feedback licences;

d. User Content licences to the extent necessary for lawful retention or operation;

e. disclaimers;

f. limitation of liability;

g. indemnity;

h. payment obligations accrued before termination;

i. dispute resolution;

j. governing law;

k. confidentiality obligations, where applicable;

l. records retention provisions;

m. enforcement provisions;

n. provisions relating to third-party services;

o. provisions relating to data, privacy, and legal compliance; and

p. any other provision which by its nature is intended to survive.

27.7 No Prejudice to Accrued Rights

Termination shall not affect any rights, obligations, liabilities, remedies, claims, or causes of action that accrued before the effective date of termination.

27.8 No Liability for Termination

To the fullest extent permitted by applicable law, we shall not be liable for any loss, damage, cost, expense, inconvenience, loss of data, loss of access, loss of subscription benefit, loss of goodwill, loss of business, or other consequence arising from termination, suspension, restriction, discontinuance, or deletion carried out in accordance with these Terms of Use.

28. NO EMERGENCY, SAFETY-CRITICAL, OR PROFESSIONAL USE

28.1 Not an Emergency Service

The Services are not an emergency service and must not be used as a substitute for contacting police, ambulance, fire, civil defence, roadside assistance, public authorities, transport authorities, or any other emergency or safety service.

If you are involved in an emergency, witness an emergency, encounter danger, observe an accident, face a medical issue, experience vehicle failure, become stranded, encounter flooding, observe criminal activity, or require urgent assistance, you must contact the appropriate emergency services or authorities directly.

In Singapore, this may include calling the relevant emergency number, contacting the relevant authority, or following official emergency procedures.

28.2 No Emergency Monitoring

We do not monitor your journeys for emergencies, accidents, distress, unsafe driving, vehicle breakdowns, medical conditions, crime, traffic offences, road hazards, public safety events, or personal safety events.

We are not responsible for detecting, responding to, escalating, reporting, or assisting with any emergency or potential emergency.

No person should rely on the Services to determine whether you are safe, whether your journey has completed, whether you have arrived, whether you are delayed, whether you are in danger, or whether emergency assistance is required.

28.3 Not for Safety-Critical Use

The Services are not designed, developed, tested, licensed, or authorised for safety-critical, life-critical, mission-critical, emergency, operational, industrial, aviation, maritime, military, medical, hazardous material, law enforcement, rescue, fire response, ambulance, disaster response, civil defence, national security, infrastructure control, or other high-risk use.

You must not use the Services in any context where failure, delay, inaccuracy, interruption, or unavailability could result in death, personal injury, property damage, environmental damage, unlawful conduct, public safety risk, or significant financial loss.

28.4 No Professional Advice

The Services do not provide legal, financial, tax, accounting, insurance, transport engineering, road safety, meteorological, automotive, mechanical, emergency, medical, regulatory, professional driving, logistics, fleet management, or other professional advice.

Any information made available through the Services is for general informational and convenience purposes only.

You should obtain professional or official advice where appropriate.

28.5 No Government or Authority Direction

Unless expressly stated, the Services are not operated by or on behalf of any government, statutory board, transport authority, road authority, traffic police, public transport operator, parking authority, weather authority, emergency service, or law enforcement agency.

The Services do not issue legally binding directions, official route instructions, emergency alerts, public authority notices, road closure orders, enforcement decisions, or regulatory approvals.

Official directions, notices, signs, signals, barriers, announcements, instructions, and laws prevail over any information displayed by the Services.

28.6 No Guarantee of Lawful Route or Conduct

The Services may not identify all laws, restrictions, road rules, vehicle restrictions, speed limits, turning restrictions, bus lane rules, private road rules, security zones, school zones, height limits, weight limits, road pricing requirements, parking restrictions, enforcement cameras, or other legal requirements.

You are solely responsible for ensuring that your conduct, route, vehicle, parking, payment, and journey comply with applicable law.

28.7 No Responsibility for Driver Conduct

We are not responsible for the acts, omissions, decisions, conduct, driving behaviour, route choices, speed, attention, compliance, judgment, impairment, fatigue, distraction, or negligence of any User, driver, passenger, pedestrian, cyclist, motorist, transport operator, third-party provider, or other person.

28.8 No Liability for Emergency or Safety Reliance

To the fullest extent permitted by applicable law, we shall not be liable for any death, injury, accident, property damage, emergency delay, rescue failure, missed warning, failure to notify, failure to detect, failure to respond, failure to escalate, unlawful route, traffic offence, penalty, or other consequence arising from or relating to any use of the Services for emergency, safety-critical, professional, official, or high-risk purposes.

29. DISCLAIMERS OF WARRANTIES

29.1 Services Provided “As Is” and “As Available”

To the fullest extent permitted by applicable law, the Services are provided on an “as is”, “as available”, and “with all faults” basis.

We disclaim all warranties, representations, conditions, undertakings, guarantees, and terms of any kind, whether express, implied, statutory, common law, customary, oral, written, or otherwise, in connection with the Services.

29.2 No Implied Warranties

Without limiting the generality of Section 29.1, we disclaim any implied warranties, representations, conditions, or guarantees of:

a. merchantability;

b. satisfactory quality;

c. fitness for a particular purpose;

d. accuracy;

e. completeness;

f. reliability;

g. timeliness;

h. availability;

i. uninterrupted operation;

j. error-free operation;

k. security;

l. non-infringement;

m. compatibility;

n. quiet enjoyment;

o. title;

p. performance;

q. suitability;

r. safety;

s. legality;

t. route quality;

u. cost savings;

v. fuel savings;

w. ERP avoidance;

x. traffic avoidance;

y. successful navigation; and

z. successful completion of any journey.

29.3 No Warranty Regarding Information

We do not warrant, represent, or guarantee that any information, Content, data, route, estimate, calculation, recommendation, alert, notification, output, display, or communication made available through the Services is accurate, complete, current, reliable, lawful, safe, suitable, uninterrupted, timely, or error-free.

This includes, without limitation:

a. Route Information;

b. Driving Information;

c. traffic information;

d. incident information;

e. ERP information;

f. toll information;

g. road pricing information;

h. fuel cost information;

i. fuel price information;

j. public transport information;

k. car park information;

l. weather information;

m. environmental information;

n. map information;

o. location information;

p. vehicle information;

q. subscription information;

r. payment information;

s. account information;

t. support information; and

u. third-party information.

29.4 No Warranty Regarding Outcomes

We do not warrant, represent, or guarantee that use of the Services will:

a. get you to your destination;

b. get you to your destination safely;

c. get you to your destination on time;

d. identify the fastest route;

e. identify the shortest route;

f. identify the cheapest route;

g. identify the safest route;

h. avoid traffic;

i. avoid ERP;

j. avoid tolls;

k. avoid fuel wastage;

l. avoid road closures;

m. avoid accidents;

n. avoid hazardous areas;

o. avoid fines or penalties;

p. avoid parking issues;

q. avoid public transport delays;

r. avoid weather disruption;

s. reduce travel costs;

t. improve driving efficiency;

u. produce financial savings;

v. preserve battery life;

w. maintain connectivity;

x. operate with your vehicle; or

y. meet your expectations.

29.5 No Warranty Regarding Third-Party Services

We do not warrant, represent, guarantee, endorse, or assume responsibility for any Third-Party Services, including any map provider, routing provider, traffic provider, transport data provider, weather provider, car park provider, fuel price provider, payment provider, platform provider, cloud provider, analytics provider, crash reporting provider, authentication provider, telecommunications provider, vehicle manufacturer, infotainment provider, or other external service.

Third-Party Services may be inaccurate, unavailable, delayed, defective, insecure, discontinued, modified, restricted, or subject to separate terms.

29.6 No Warranty Against Data Loss

We do not warrant that any Account data, preferences, journey history, favourites, settings, User Content, subscription status, route history, vehicle data, or other information will be preserved, backed up, recoverable, exportable, or free from loss, corruption, deletion, alteration, or unauthorised access.

You should not rely on the Services as your sole storage location for important information.

29.7 No Warranty Regarding Security

Although we may take reasonable measures to protect the Services, we do not warrant that the Services will be free from vulnerabilities, malware, unauthorised access, cyberattacks, data breaches, interception, denial-of-service attacks, technical defects, or other security issues.

You are responsible for maintaining appropriate security for your Device, Account, credentials, network, and data.

29.8 No Warranty Regarding Compatibility

We do not warrant that the Services will be compatible with every Device, operating system, browser, vehicle, infotainment system, display, network, platform, region, language, accessibility setting, or technical environment.

Compatibility may change over time.

29.9 Consumer Rights Preserved

Nothing in these Terms of Use excludes, restricts, or modifies any warranty, guarantee, condition, right, remedy, obligation, or liability that cannot be excluded, restricted, or modified under applicable law.

Where applicable law implies any warranty, guarantee, condition, or term that cannot be excluded but may be limited, our liability shall be limited to the maximum extent permitted by applicable law.

30. LIMITATION OF LIABILITY

30.1 General Limitation

To the fullest extent permitted by applicable law, we shall not be liable to you or any third party for any loss, damage, cost, expense, claim, liability, penalty, fine, charge, injury, death, accident, delay, inconvenience, data loss, business interruption, or other consequence arising from or relating to the Services, whether in contract, tort, negligence, breach of statutory duty, misrepresentation, restitution, equity, statute, strict liability, or otherwise.

30.2 Excluded Losses

Without limiting Section 30.1, we shall not be liable for:

a. indirect loss;

b. consequential loss;

c. incidental loss;

d. special loss;

e. punitive damages;

f. exemplary damages;

g. loss of profits;

h. loss of revenue;

i. loss of business;

j. loss of opportunity;

k. loss of goodwill;

l. loss of reputation;

m. loss of anticipated savings;

n. loss of data;

o. loss of use;

p. loss of productivity;

q. business interruption;

r. wasted expenditure;

s. replacement costs;

t. increased travel costs;

u. loss arising from missed appointments;

v. loss arising from missed flights or connections;

w. loss arising from fines, penalties, tolls, ERP, parking charges, or enforcement action;

x. loss arising from personal injury or property damage, except to the extent such exclusion is prohibited by law; or

y. any similar loss, whether foreseeable or unforeseeable.

30.3 Specific Exclusions Relating to Lanes

To the fullest extent permitted by applicable law, we shall not be liable for any loss, damage, cost, expense, claim, liability, fine, penalty, injury, death, accident, delay, or other consequence arising from or relating to:

a. route suggestions;

b. route errors;

c. missed turns;

d. incorrect road names;

e. inaccurate map information;

f. inaccurate Location Data;

g. inaccurate traffic information;

h. inaccurate ERP estimates;

i. inaccurate toll estimates;

j. inaccurate fuel estimates;

k. inaccurate fuel prices;

l. inaccurate public transport information;

m. inaccurate car park information;

n. inaccurate weather information;

o. inaccurate estimated arrival times;

p. inaccurate estimated distances;

q. road closures;

r. diversions;

s. accidents;

t. vehicle damage;

u. driver distraction;

v. unsafe driving;

w. public transport delays;

x. parking unavailability;

y. third-party service failure;

z. platform provider restrictions;

aa. payment processor errors;

bb. application marketplace actions;

cc. vehicle interface failure;

dd. CarPlay or Android Auto issues;

ee. failure of notifications;

ff. service outages;

gg. data loss;

hh. suspension or termination; or

ii. reliance on the Services for emergency, safety-critical, professional, commercial, or high-risk purposes.

30.4 Cap on Liability

To the fullest extent permitted by applicable law, our total cumulative liability to you for all claims arising from or relating to the Services, these Terms of Use, any Account, any Paid Service, any Subscription, any Content, any User Content, or any transaction shall not exceed the greater of:

a. the total amount actually paid by you to us for the Services in the three months immediately preceding the event giving rise to the claim; or

b. Singapore Dollars One Hundred only.

Where you have not paid any amount directly to us, our total cumulative liability shall not exceed Singapore Dollars One Hundred only, to the fullest extent permitted by applicable law.

30.5 Multiple Claims

The liability cap in Section 30.4 shall apply in the aggregate to all claims, events, acts, omissions, transactions, disputes, and causes of action, and shall not be increased by the existence of multiple claims, multiple events, multiple legal theories, multiple Users, multiple Devices, multiple Accounts, multiple subscriptions, or multiple periods of use.

30.6 Basis of Bargain

You acknowledge and agree that the disclaimers, exclusions, and limitations of liability in these Terms of Use form an essential basis of the bargain between you and us.

The Services would not be provided, or would not be provided on the same terms, without such disclaimers, exclusions, and limitations.

30.7 No Liability for Third Parties

We shall not be liable for any act, omission, data error, service failure, outage, delay, restriction, policy, charge, dispute, decision, negligence, wilful misconduct, breach, or legal violation of any third party, including any platform provider, payment provider, map provider, routing provider, traffic provider, public transport provider, government data source, car park operator, fuel provider, weather provider, cloud provider, telecommunications provider, vehicle manufacturer, infotainment provider, or other third party.

30.8 No Liability for User Conduct

We shall not be liable for the conduct, acts, omissions, decisions, statements, content, driving behaviour, payment behaviour, account use, misuse, negligence, unlawful conduct, unsafe conduct, or breach of any User or other person.

30.9 Exceptions Required by Law

Nothing in these Terms of Use excludes or limits liability for any matter to the extent that such liability cannot lawfully be excluded or limited.

Where applicable law does not permit a particular exclusion or limitation, that exclusion or limitation shall apply only to the maximum extent permitted by law.

31. INDEMNITY

31.1 Indemnity by User

To the fullest extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Bapak, its affiliates, officers, directors, shareholders, employees, contractors, advisers, licensors, service providers, representatives, agents, successors, and assigns from and against any and all claims, demands, actions, proceedings, investigations, losses, liabilities, damages, fines, penalties, charges, costs, and expenses, including reasonable legal fees, arising from or relating to:

a. your access to or use of the Services;

b. your misuse of the Services;

c. your breach of these Terms of Use;

d. your breach of applicable law;

e. your breach of any third-party terms;

f. your User Content;

g. your feedback;

h. your Account activity;

i. your payment activity;

j. your driving, travel, parking, public transport, or route decisions;

k. your reliance on Route Information, Driving Information, traffic information, ERP information, fuel information, public transport information, car park information, weather information, or other information displayed through the Services;

l. your use of CarPlay, Android Auto, vehicle interfaces, or in-vehicle displays;

m. your violation of any Intellectual Property Rights, privacy rights, publicity rights, contractual rights, confidentiality obligations, or other rights of any person;

n. your provision of false, inaccurate, incomplete, outdated, or misleading information;

o. your unauthorised access to or use of another person’s Account, Device, data, location, or information;

p. your unsafe, unlawful, negligent, reckless, fraudulent, abusive, or harmful conduct;

q. any claim brought by a passenger, driver, vehicle owner, employer, family member, customer, client, insurer, regulator, authority, or third party arising from your use of the Services; or

r. any other matter for which you are responsible under these Terms of Use.

31.2 Defence and Control

We reserve the right, at your expense, to assume the exclusive defence and control of any matter subject to indemnification by you.

You agree to cooperate fully with our defence of any such matter.

You must not settle any claim without our prior written consent if the settlement imposes any obligation on us, admits any liability by us, affects our rights, requires payment by us, restricts our business, or otherwise prejudices our interests.

31.3 Continuing Obligation

Your indemnity obligations shall survive termination of these Terms of Use, deletion of your Account, cancellation of any Subscription, discontinuance of the Services, and cessation of your use of the Services.

31.4 No Limitation of Other Remedies

The indemnity in this section is in addition to, and not in substitution for, any other rights or remedies available to us under these Terms of Use, applicable law, equity, contract, tort, statute, or otherwise.

32. FORCE MAJEURE

32.1 No Liability for Events Beyond Reasonable Control

We shall not be liable for any failure, delay, interruption, inaccuracy, degradation, non-performance, or inability to perform any obligation under these Terms of Use where such failure or delay is caused by or results from any Force Majeure Event.

32.2 Examples of Force Majeure Events

Force Majeure Events include, without limitation:

a. acts of God;

b. natural disasters;

c. fire;

d. flood;

e. lightning;

f. earthquake;

g. haze;

h. severe weather;

i. pandemic;

j. epidemic;

k. public health emergency;

l. war;

m. terrorism;

n. civil unrest;

o. riots;

p. strikes;

q. labour disputes;

r. government action;

s. regulatory action;

t. changes in law;

u. court orders;

v. national emergencies;

w. transport disruptions;

x. road closures;

y. power failures;

z. telecommunications failures;

aa. internet failures;

bb. satellite positioning failures;

cc. mobile network failures;

dd. cloud hosting failures;

ee. data centre failures;

ff. cyberattacks;

gg. denial-of-service attacks;

hh. malware attacks;

ii. platform provider failures;

jj. application marketplace restrictions;

kk. payment processor failures;

ll. map provider failures;

mm. routing provider failures;

nn. traffic data failures;

oo. public transport data failures;

pp. weather data failures;

qq. car park data failures;

rr. fuel price data failures;

ss. third-party API failures;

tt. hardware failures;

uu. software failures outside our reasonable control;

vv. vehicle interface provider failures;

ww. Apple CarPlay or Android Auto restrictions; and

xx. any other event beyond our reasonable control.

32.3 Mitigation

Where reasonably practicable, we may take steps to mitigate the effect of a Force Majeure Event. However, we are not obliged to implement any particular workaround, replacement service, compensation scheme, refund, manual process, alternative data source, or substitute feature unless required by applicable law.

32.4 Suspension During Force Majeure

During a Force Majeure Event, we may suspend, restrict, degrade, modify, discontinue, or delay any part of the Services without liability.

32.5 Extended Force Majeure

If a Force Majeure Event materially affects the Services for an extended period, we may discontinue, restructure, modify, or terminate any affected feature, product, Subscription, data source, region, integration, or service, subject to applicable law.

33. GOVERNING LAW, DISPUTE RESOLUTION, AND LEGAL CLAIMS

33.1 Governing Law

These Terms of Use, and any dispute, claim, action, proceeding, controversy, or matter arising out of or relating to these Terms of Use, the Services, any Account, any Paid Service, any Subscription, any transaction, any Content, any User Content, or any relationship between you and us, shall be governed by and construed in accordance with the laws of the Republic of Singapore, without regard to conflict of law principles.

33.2 Singapore Courts

Subject to any mandatory applicable law, you agree that the courts of the Republic of Singapore shall have exclusive jurisdiction over any dispute, claim, action, proceeding, controversy, or matter arising out of or relating to these Terms of Use, the Services, any Account, any Paid Service, any Subscription, any transaction, any Content, any User Content, or any relationship between you and us.

You irrevocably submit to the jurisdiction of the courts of the Republic of Singapore.

33.3 Good Faith Resolution

Before commencing formal legal proceedings, you agree to first contact us through the designated contact channel and provide a written description of the dispute, the facts giving rise to the dispute, the relief sought, and any supporting documents reasonably necessary to understand the matter.

We and you shall use reasonable efforts to resolve the dispute in good faith.

Nothing in this section prevents either party from seeking urgent injunctive relief, protective relief, interim relief, or other urgent remedies where necessary.

33.4 Time Limit for Claims

To the fullest extent permitted by applicable law, any claim or cause of action arising out of or relating to the Services or these Terms of Use must be commenced within one year after the date on which the claim or cause of action first arose.

Any claim not commenced within that period shall be permanently barred.

Where applicable law does not permit such limitation period, the shortest limitation period permitted by applicable law shall apply.

33.5 Individual Claims Only

To the fullest extent permitted by applicable law, you agree that any claim against us shall be brought only in your individual capacity and not as a plaintiff, claimant, representative, or member in any class, collective, consolidated, representative, or group proceeding.

Where this restriction is not enforceable under applicable law, it shall apply to the maximum extent permitted.

33.6 Injunctive Relief

You acknowledge that any breach or threatened breach of provisions relating to intellectual property, reverse engineering, scraping, data extraction, security, confidentiality, unauthorised access, misuse of the Services, or infringement may cause us irreparable harm for which monetary damages may be inadequate.

We may seek injunctive relief, specific performance, equitable relief, protective orders, or other appropriate remedies without the need to prove actual damages or post bond, to the extent permitted by applicable law.

33.7 Legal Costs

To the fullest extent permitted by applicable law, if we prevail in any dispute, claim, action, proceeding, enforcement action, or legal matter arising from or relating to your breach of these Terms of Use, misuse of the Services, unlawful conduct, payment default, indemnity obligation, or infringement of our rights, you agree to reimburse our reasonable legal fees, costs, expenses, expert fees, investigation costs, and enforcement costs.

33.8 Export, Sanctions, and Compliance

You represent and warrant that your access to and use of the Services complies with all applicable export control, sanctions, anti-corruption, anti-bribery, anti-money laundering, counter-terrorism, and trade compliance laws.

You must not access, use, export, re-export, transfer, or make available the Services in violation of applicable laws or to any person, entity, jurisdiction, or destination prohibited by applicable law.

33.9 Regulatory Requests

We may respond to lawful requests, orders, notices, warrants, subpoenas, investigations, regulatory enquiries, law enforcement requests, court orders, government requests, platform provider requests, or legal processes in accordance with applicable law.

We may disclose information where we reasonably believe disclosure is required or permitted by law, necessary to protect our rights, necessary to protect users or the public, necessary to prevent fraud or abuse, or necessary to enforce these Terms of Use.

33.10 No Waiver of Statutory Rights

Nothing in this Section 33 shall exclude or limit any mandatory statutory rights that cannot be excluded or limited under applicable law.

34. GENERAL PROVISIONS AND CONTACT INFORMATION

34.1 Entire Agreement

These Terms of Use, together with the Privacy Policy and any additional terms incorporated by reference, constitute the entire agreement between you and us in relation to the Services and supersede all prior or contemporaneous agreements, understandings, representations, negotiations, statements, proposals, communications, and arrangements relating to the Services, whether oral or written.

34.2 Severability

If any provision of these Terms of Use is held to be invalid, illegal, void, or unenforceable by a court or other competent authority, that provision shall be deemed modified to the minimum extent necessary to make it valid, legal, and enforceable.

If such modification is not possible, the relevant provision shall be deemed severed from these Terms of Use.

The remaining provisions shall continue in full force and effect.

34.3 No Waiver

No failure, delay, omission, indulgence, or forbearance by us in exercising any right, power, remedy, or privilege under these Terms of Use shall operate as a waiver of that right, power, remedy, or privilege.

No single or partial exercise of any right, power, remedy, or privilege shall preclude any other or further exercise of it or the exercise of any other right, power, remedy, or privilege.

Any waiver must be in writing and signed by us to be effective.

34.4 Assignment by You

You must not assign, transfer, novate, delegate, sublicense, or otherwise dispose of any rights or obligations under these Terms of Use without our prior written consent.

Any attempted assignment, transfer, novation, delegation, sublicence, or disposal without such consent shall be void.

34.5 Assignment by Us

We may assign, transfer, novate, delegate, subcontract, or otherwise dispose of any rights or obligations under these Terms of Use, in whole or in part, without your consent, including in connection with a merger, acquisition, restructuring, reorganisation, financing, sale of assets, transfer of business, corporate transaction, change of control, or operation of law.

34.6 Subcontracting and Service Providers

We may use affiliates, contractors, vendors, service providers, licensors, platform providers, cloud providers, payment processors, support providers, analytics providers, data providers, and other third parties to perform or support any part of the Services.

We remain responsible for our obligations under these Terms of Use, subject to the disclaimers, exclusions, and limitations set out herein.

34.7 Relationship of Parties

Nothing in these Terms of Use shall create any partnership, joint venture, employment, agency, fiduciary, franchise, or representative relationship between you and us.

You have no authority to bind us, make representations on our behalf, incur obligations on our behalf, or act as our agent.

34.8 Third-Party Rights

Except where expressly stated in these Terms of Use or required by applicable platform provider terms, no person who is not a party to these Terms of Use shall have any right to enforce any provision of these Terms of Use under the Contracts (Rights of Third Parties) Act 2001 or otherwise.

34.9 Notices From Us

We may provide notices to you through any reasonable method, including:

a. in-app notice;

b. website posting;

c. email;

d. push notification;

e. SMS;

f. app marketplace notice;

g. platform notice;

h. account notice;

i. support message; or

j. any other electronic or written communication.

Notices shall be deemed received when sent, posted, displayed, or otherwise made available, unless applicable law requires otherwise.

34.10 Notices From You

Any notice, complaint, request, legal correspondence, privacy request, support request, or other communication from you must be sent through the contact channels designated by us.

We are not obliged to act upon notices sent to personal accounts, informal channels, social media messages, inactive addresses, incorrect addresses, or unauthorised representatives.

34.11 Publicity

You must not issue any press release, public announcement, marketing statement, endorsement claim, partnership claim, affiliation claim, sponsorship claim, government collaboration claim, media statement, or public representation concerning us or the Services without our prior written consent.

34.12 References to Third Parties

Any reference to third-party names, products, services, marks, platforms, roads, transport operators, public authorities, payment providers, vehicle manufacturers, fuel providers, car parks, or other third parties is for identification or informational purposes only and does not imply endorsement, sponsorship, approval, affiliation, partnership, agency, or responsibility unless expressly stated.

34.13 Headings

Headings and section titles are inserted for convenience only and shall not affect the interpretation of these Terms of Use.

34.14 Interpretation Against Drafter

No rule of interpretation that a document shall be construed against the party responsible for drafting it shall apply to these Terms of Use.

34.15 Language

These Terms of Use may be translated into other languages. The English version shall prevail in the event of any inconsistency, ambiguity, or conflict, unless applicable law requires otherwise.

34.16 Records

Our records, logs, transaction records, support records, subscription records, diagnostic records, security records, and system records shall be admissible and may be relied upon as evidence of your access to, use of, transactions with, or interactions with the Services, subject to applicable law.

34.18 Effective Date
